- Tesco agreed to sell its Czech and Slovak businesses to Ahold Delhaize.
- The transaction requires regulatory approval and is expected to close in the second half of 2027.
- Ahold Delhaize will publish its third-quarter 2026 results on November 4.
Tesco agreed on Friday, October 30, 2026, to sell its businesses in the Czech Republic and Slovakia to Ahold Delhaize. The transaction gives the Dutch grocer a new expansion route in Central Europe while adding regulatory and execution milestones before completion, according to Morningstar.
Acquisition broadens European operations
Tesco put the enterprise value at 1.7 billion euros on a cash- and debt-free basis. The net consideration is 1.2 billion euros, while completion is expected in the second half of 2027, subject to antitrust and other regulatory approvals.
The businesses generated combined sales of 2.9 billion pounds in the prior 52-week period and contributed most of Tesco's 115 million pounds of adjusted operating profit in Central Europe. The transaction includes stores, offices and distribution centers in both countries. Hungary is not part of the agreement.
For Ahold Delhaize, the acquisition is intended to strengthen its position in Central and Southeastern Europe. The Amsterdam-listed retailer expects the deal to generate revenue growth and synergies, as reported by Dow Jones Newswires through Morningstar. The timing means investors will have to assess the purchase alongside the group's existing operating performance and integration plans.
