Aon reported stronger underlying growth in the third quarter ended September 30, 2026, as organic revenue advanced 6% and adjusted profitability improved. The insurance broker said on October 28 that it expects its acquisition of USI to close in the fourth quarter, keeping integration and debt reduction at the center of the investment case.

According to Aon's third-quarter results release, revenue rose 3% to 4.101 billion US dollars from 3.997 billion US dollars a year earlier. Organic revenue growth, which excludes the effects of currency, acquisitions, divestitures and other specified items, reached 6%.

Risk Businesses Lead Growth

Commercial Risk Solutions and Reinsurance Solutions each posted 7% organic revenue growth. Health Solutions grew 6%, while Wealth Solutions increased 4% organically despite a 21% reported revenue decline caused mainly by divestitures. Risk Capital revenue rose 6% to 2.682 billion US dollars, whereas Human Capital revenue fell 4% to 1.421 billion US dollars.

Reported operating income declined 1% to 809 million US dollars, reflecting higher expenses and restructuring costs. The adjusted figures presented by Aon, which exclude specified items and are non-GAAP measures, showed adjusted operating income up 5% to 1.106 billion US dollars and adjusted operating margin widening 70 basis points to 27.0%. Adjusted earnings per share increased 10% to 3.36 US dollars from 3.05 US dollars.

Aon also generated 1.097 billion US dollars in third-quarter free cash flow, up 2% year over year. For the first nine months, operating cash flow rose 4% to 2.177 billion US dollars and free cash flow increased 3% to 1.943 billion US dollars. The company said transaction costs related to USI contributed to expenses, while the third-quarter figures also included 93 million US dollars of Accelerating Aon United program costs.

USI Sets The Next Test

Chief Executive Greg Case said investments in AI-enabled analytics, new capabilities and capital solutions are supporting Aon's strategy. He described the USI transaction as an opportunity to broaden the company's middle-market reach and expand access to traditional and alternative sources of capital.

Aon expects the USI acquisition to close in the fourth quarter of 2026. After completion, management plans to prioritize debt repayment and pursue a leverage objective of 2.8x to 3.0x over approximately 24 months. For investors, the next test is whether the acquisition closes on schedule and whether the stronger organic growth profile can offset integration demands and higher financing needs.
