- Reuters reported that AstraZeneca offered up to 134 US dollars per Rhythm share in a non-binding proposal.
- The transaction would be pursued through Alexion and would add rare metabolic and obesity treatments to AstraZeneca's portfolio.
- The proposal comes as Chief Executive Pascal Soriot seeks to restore investor focus on growth after clinical setbacks.
AstraZeneca has made a non-binding proposal to acquire Rhythm Pharmaceuticals for as much as 10 billion US dollars, according to a Reuters report published on November 5, 2026, which cited three people familiar with the matter. The proposal includes milestone payments and was made through the company's rare-disease strategy, rather than as part of its established oncology portfolio.
Reuters reported that the offer could reach 134 US dollars per Rhythm share. The Wall Street Journal had earlier reported a proposal of 124 US dollars per share made in October. AstraZeneca has not commented, while Rhythm representatives did not respond to requests for comment.
Alexion Would Lead The Transaction
The acquisition would be pursued through Alexion, AstraZeneca's rare-disease business, according to two of the people cited by Reuters. AstraZeneca acquired Alexion for 39 billion US dollars in 2021, expanding its exposure beyond oncology and other biopharmaceutical franchises.
Rhythm develops treatments for rare neuroendocrine and metabolic disorders, including severe obesity. Its Imcivree therapy received an expanded US Food and Drug Administration indication in March for a rare form of obesity caused by brain damage, making it the first approved treatment in the United States for that condition, Reuters reported.
The proposed transaction would give AstraZeneca a commercial presence in a fast-growing part of the pharmaceutical market while adding products aimed at genetically defined forms of obesity. That focus differs from the broader weight-loss market led by Novo Nordisk and Eli Lilly, but could complement Alexion's existing specialty-medicines platform.
Growth Focus Returns To Investors
Reuters said AstraZeneca Chief Executive Pascal Soriot is seeking to shift investor attention back to growth after clinical-trial setbacks and reports of a potentially transformative transaction with Bristol Myers Squibb had weighed on the shares. The report put AstraZeneca's market value at 292 billion US dollars.
