Cintas shareholders approved the company's reincorporation from Washington to Delaware and elected all nominated directors at the annual meeting held Tuesday, October 27, according to Investing.com, citing a company release and SEC filing.
Governance decisions take center stage
The vote elected Beverly K. Carmichael, Karen L. Carnahan, Robert E. Coletti, Scott D. Farmer, Martin Mucci, Joseph Scaminace, Todd M. Schneider and Ronald W. Tysoe to the board. Shareholders also approved an advisory resolution on named executive officer compensation and ratified Ernst & Young as the independent registered public accounting firm for fiscal 2027.
A separate shareholder proposal supporting majority voting in governance was not approved. The Delaware reincorporation passed with 350,354,401 votes in favor, 520,454 against and 1,156,473 abstentions, while 17,196,153 broker non-votes were recorded, according to the same report.
What investors should watch next
The annual meeting adds corporate-governance outcomes to Cintas's current investor agenda. The approved reincorporation and board election provide defined results from the meeting, while the failed majority-voting proposal shows that shareholder support differed by issue.
