- Citigroup received regulatory approval to establish a wholly owned securities company in China.
- The Shanghai venture will offer brokerage, underwriting, research and principal trading services after remaining procedures are completed.
- A Solvay notification said Citigroup crossed the 3 percent threshold downward on October 20.
Citigroup is expanding its onshore capital-markets platform in China while a separate participation filing shows a reduction in its holding in Solvay. The two developments give investors distinct strategic and ownership signals as the bank continues reshaping its global business.
New securities platform in China
On Friday, October 23, Citigroup said the China Securities Regulatory Commission had approved a wholly owned securities company in China. The bank said in a Citi press release that Citigroup Securities (China) Company Limited will be headquartered in Shanghai.
The new venture is intended to provide equities brokerage, securities underwriting, research and principal trading for domestic and foreign clients. Citi said the company must complete statutory and regulatory procedures before operations begin, so the approval marks a significant step but not the start of full commercial activity.
Xinhua reported on Monday, October 26, that the venture will have registered capital of 1.2 billion yuan and become the seventh wholly foreign-owned securities firm approved to operate in China. The report said the approval is part of China's continuing effort to open its financial sector to foreign institutions.
Solvay stake crosses lower threshold
Solvay said on Tuesday, October 27, that Citigroup notified the company of a downward crossing of the 3 percent threshold. The Solvay notification states that the threshold was crossed on October 20 and attributes the change to the acquisition or disposal of financial instruments treated as voting securities.
The filing does not establish why Citigroup reduced the position or connect the transaction to the China initiative. For investors, the items therefore belong to different parts of the investment case: one expands Citi's local securities capabilities, while the other changes a disclosed corporate holding.
