China's securities regulator approved Citigroup's plan to establish a wholly owned securities company on Friday, October 23, marking a new step in the US bank's expansion of its mainland capital-markets business. Reuters reported that the Shanghai-based Citigroup Securities China Company received approval from China's securities regulator.
The authorization covers onshore services for domestic and foreign clients. The unit may underwrite capital-markets transactions, broker equities, trade onshore securities, conduct securities research and provide investment advice. That scope gives Citi a local platform alongside its existing corporate, institutional and other banking activities in China.
A Local Platform For Capital Markets
Citi applied for a wholly owned mainland brokerage license in late 2021 as it sought to expand its onshore operations. The approval turns that multiyear application process into an operating buildout, although the unit still has to establish its business and develop a client base in a market where domestic securities activity is growing.
Reuters reported that Citi has hired for the business over the past two years and aims to roughly double its headcount to about 100 people by the end of 2026. The staffing plan signals that the bank is preparing for a broader local presence rather than treating the license as a purely defensive regulatory milestone.
Chief Executive Jane Fraser said the onshore capabilities would allow Citi to help clients raise capital, reach investors and trade locally while connecting them with opportunities around the world. For investors, the strategic case rests on whether the new platform can convert Citi's international client network into recurring underwriting, brokerage and advisory revenue.
Execution Matters More Than The License
The approval does not by itself establish the scale or profitability of the operation. Citi must still recruit, win mandates and manage the regulatory and geopolitical conditions that have made cross-border financial expansion more complex. Competition from other global banks with Chinese securities operations also raises the bar for growth.
