ITOCHU began its tender offer for DENTSU SOKEN on Monday, November 2, after confirming that all conditions for the transaction had been met. The Japanese trading group and its investment vehicle G.K. VIC are offering JPY 2,880 per share as part of a plan to take the information-services company private, according to the ITOCHU press release dated October 30.

At 9:09 a.m. CET on Monday, November 2, ITOCHU stock traded at EUR 12.84 on Lang & Schwarz.

Offer Targets Digital Expansion

The offer period runs from November 2 through December 2 and covers 21 business days. ITOCHU set a minimum purchase threshold of 9,340,400 shares and no maximum number of shares. DENTSU SOKEN's board supports the transaction and recommends that shareholders accept the offer.

ITOCHU said the transaction is intended to combine DENTSU SOKEN's business consulting, application-development and proprietary-software capabilities with the ITOCHU Group's IT infrastructure, cloud, operations and maintenance resources. DENTSU SOKEN is already a consolidated subsidiary of Dentsu Group, which holds 61.78 percent of the target's shares and has agreed not to tender those shares.

If the offer succeeds without acquiring all shares outside Dentsu Group's stake, ITOCHU plans further procedures to make Dentsu Group and the tender-offer vehicle the sole shareholders. The company expects the related share consolidation to take place around early February 2027, subject to the transaction's completion.

Clearances Remove Key Condition

The tender offer had initially been planned after regulatory clearances. ITOCHU said approvals under competition laws were completed in China on October 10, in the European Union on October 15 and in Japan on October 22. After reviewing the remaining conditions, the tender-offer vehicle decided on October 30 to start the offer on November 2.

For ITOCHU, the deal extends a broader effort to build technology-enabled businesses alongside its traditional trading activities. The company said DENTSU SOKEN could gain access to ITOCHU's customer base, overseas network and investment resources, while ITOCHU could use the target's consulting and application skills in projects across its business portfolio.

The release also points to potential cooperation with ITOCHU Techno-Solutions, including infrastructure, cloud, business-process outsourcing and maintenance capabilities. ITOCHU expects these links to widen the target's addressable projects and support growth in areas such as artificial intelligence, data use and digital transformation. These are strategic objectives rather than quantified earnings guidance.

Next Steps For Shareholders

The immediate timetable is the tender period ending December 2, unless the target requests an extension to December 15. If the minimum threshold is reached, ITOCHU intends to pursue the subsequent steps required for privatization. The transaction therefore gives investors a defined corporate event to monitor, while its financial contribution will depend on execution and the pace of synergies.

Japan's Nikkei 225 market environment provides the broader setting for Japanese equities and trading companies.
