Marvell Technology is weighing a potential acquisition of Lumentum as investors focus on the price, funding and execution risks of a deal that would reshape the chip designer's position in AI infrastructure. Bloomberg reported on Wednesday, October 28, that Marvell was in advanced talks to buy the optical components maker, according to people familiar with the matter.

A report by 24/7 Wall St. said the talks could produce an announcement as soon as next week. The same report stressed that no final agreement has been reached and that the terms could still change.

Optical Capacity Is the Strategic Prize

Lumentum supplies lasers, optical components and networking systems used in cloud and AI data centers. Its products address a bottleneck as data-center operators expand systems that move information between computing clusters at higher speeds.

For Marvell, acquiring the supplier would extend its existing exposure to AI infrastructure beyond custom silicon and networking chips. The combination could give Marvell closer access to optical components while adding manufacturing and integration responsibilities that would need to be managed after any transaction.

24/7 Wall St. reported that Lumentum's fiscal fourth-quarter 2026 revenue rose 109.3 percent to 1.006 billion US dollars and that the company guided fiscal first-quarter 2027 revenue to between 1.225 billion and 1.275 billion US dollars. Those figures describe the target's growth profile, but they do not establish a takeover price or the economic benefit to Marvell shareholders.

Financing Remains the Main Unknown

The reported scale makes the payment structure central to the investment case. 24/7 Wall St. cited a Lumentum market value of 82.8 billion US dollars and a Marvell market value of 220.7 billion US dollars. A stock-funded transaction could increase the share count and dilute existing holders, while debt financing could raise interest costs and leave less room for additional investment.

Neither company has disclosed a purchase price, premium or mix of cash and stock. Until those terms emerge, the strategic rationale cannot be separated from the financial burden of the transaction. The talks could also end without an agreement.
