- NextEra Energy and Dominion Energy accepted most conditions proposed by Virginia regulators and consumer advocates.
- The package includes bill credits, energy assistance, workforce funding and stronger financial separation for Dominion Energy Virginia.
- Regulatory approvals remain outstanding, with the companies targeting a closing in the second half of 2027.
NextEra Energy and Dominion Energy said on Tuesday, November 3, 2026, that they had strengthened their proposed combination with additional customer and financial protections. In a NextEra Energy news release, the companies said they accepted 101 of 117 conditions proposed by Virginia State Corporation Commission staff and the Office of the Attorney General Division of Consumer Counsel. They accepted another 13 conditions with enhancements or modifications.
The revised package is intended to strengthen Dominion Energy Virginia's financial separation from affiliated businesses, add independent oversight and increase Virginia representation on its board. The companies said the utility would remain locally led and accountable to the Virginia State Corporation Commission while retaining access to NextEra Energy's capital.
Customer relief and investment commitments
The proposal includes four years of shareholder-funded residential bill credits and an additional 100 million US dollars for EnergyShare, which supports energy assistance and weatherization. It also includes 100 million US dollars for workforce development and skilled-trades training.
The companies plan to create 1,000 jobs, including 600 positions at NextEra Energy and about 400 with suppliers, contractors and service providers. They also propose maintaining Dominion Energy's current Virginia employee headcount for at least five years, building a shareholder-funded office tower in downtown Richmond and maintaining dual headquarters.
A new Virginia Supplier Program would support spending of up to 5 billion US dollars with Virginia-based manufacturers, contractors, suppliers and service providers over five years. The commitments are designed to address concerns about customer affordability, employment and the utility's ability to finance future generation, transmission and grid investment.
Approval remains the key catalyst
The companies continue to expect the transaction to close in the second half of 2027, but the proposed combination remains subject to regulatory approvals and customary closing conditions. The filing therefore gives NextEra Energy investors a clearer view of the concessions being offered, while leaving the outcome of the Virginia review unresolved.
