- NextEra Energy and Dominion Energy accepted 101 proposed conditions and modified another 13.
- The package includes four years of shareholder-funded bill credits and USD 100 million for EnergyShare.
- The companies still expect the transaction to close in the second half of 2027, subject to approvals.
NextEra Energy and Dominion Energy submitted revised rebuttal testimony to Virginia regulators on Tuesday, November 3, 2026, adding customer, financial and governance safeguards to their proposed combination. The transaction remains subject to regulatory approvals and other closing conditions, according to the NextEra Energy news release.
Companies accept most proposed conditions
The filing responds to 117 conditions proposed by staff of the Virginia State Corporation Commission and the Office of the Attorney General Division of Consumer Counsel. NextEra Energy and Dominion Energy accepted 101 conditions as proposed and offered enhancements or modifications to another 13, while adding measures intended to keep Dominion Energy Virginia financially separate from affiliated businesses.
The companies also proposed more independent oversight and stronger Virginia representation on Dominion Energy Virginia's board. The utility would remain locally led and accountable to the State Corporation Commission, while retaining access to NextEra Energy's capital and operating capabilities. Those commitments address regulators' concerns about the financial and operational risks that could arise from combining a regulated utility with a broader parent group.
Customer relief and investment commitments
The revised package preserves four years of shareholder-funded residential bill credits. It also includes a USD 100 million contribution to EnergyShare for energy assistance and weatherization, plus USD 100 million for workforce development and skilled-trades training.
The companies propose creating 1,000 jobs, including 600 positions at NextEra Energy and roughly 400 roles with suppliers, contractors and service providers. Dominion Energy's current Virginia employee headcount would remain in place for at least five years. The proposal also calls for a shareholder-funded office tower in downtown Richmond, dual headquarters and up to USD 5 billion of spending with Virginia-based businesses over five years.
NextEra Energy chairman and CEO John Ketchum said the revised filing was designed to provide immediate bill relief while preserving the financial and operating capacity needed to expand Virginia's energy infrastructure. Dominion Energy CEO Bob Blue said the local utility would remain accountable to Virginia regulators and benefit from NextEra Energy's financial strength.
Approval remains the central risk
The filing does not complete the transaction. The proposed combination still requires regulatory approval, and the companies continue to expect closing in the second half of 2027. For investors, the new commitments improve the proposal's response to customer and financial concerns, but they also show that the transaction remains dependent on regulatory conditions and the final decision of the Virginia commission.
