- QIAGEN's third-quarter sales beat its constant-currency growth outlook.
- Adjusted margins improved while reported earnings per share declined.
- The pending EQT transaction keeps QIAGEN's full-year guidance suspended.
QIAGEN's third-quarter results improved the operating picture while leaving shareholders focused on the proposed EQT takeover. In its full results released on Wednesday, November 4, QIAGEN reported net sales of 548 million US dollars for the quarter ended September 30, according to QIAGEN Investor Relations. Revenue increased 3% from the prior-year quarter and also rose 3% at constant exchange rates, ahead of the company's outlook for approximately 1% to 2% constant-currency growth.
The sales mix remained supportive. Consumables and related revenue increased 3% at constant exchange rates and represented 91% of sales, while instrument revenue rose 1%. Revenue from QIAGEN's pillars grew 7% at constant exchange rates to 415 million US dollars, partly offset by a 7% decline in the rest of the portfolio.
Margin gains strengthen the operating case
Operating income increased to 132 million US dollars from 129 million US dollars a year earlier. Adjusted operating income rose 6% to 167 million US dollars, lifting the adjusted operating margin to 30.4% from 29.6%. QIAGEN linked the improvement to sales growth, a stronger contribution from higher-margin consumables and efficiency gains, while investments in Parse Biosciences continued after its late-2025 acquisition.
Reported diluted earnings per share fell to 0.51 US dollars from 0.60 US dollars in the prior-year quarter. On an adjusted basis, diluted earnings per share increased to 0.65 US dollars from 0.61 US dollars and exceeded the outlook of at least 0.62 US dollars at constant exchange rates. Operating cash flow reached 447 million US dollars in the first nine months of 2026.
EQT deal keeps guidance suspended
The stronger quarter does not restore the full-year outlook. QIAGEN said it will not provide financial guidance while the proposed transaction with EQT Private Equity remains pending. The recommended all-cash offer is 46.50 euros per share, and the tender offer has not yet commenced. Regulatory approvals and other conditions remain part of the transaction process.
That structure changes the way investors may read the results. The quarterly figures offer a clearer view of demand, mix and profitability, but the near-term share-price debate is also tied to the offer price and the timetable for completion. QIAGEN's release said the transaction is currently expected to close in mid-2027, subject to the required steps.
