- Saint-Gobain completed the Dahl disposal to Kesko on November 2, 2026.
- Kesko puts the debt-free transaction price at EUR 1.2 billion excluding lease commitments.
- The acquired businesses will be consolidated by Kesko from November 1, with one-time transaction costs of about EUR 9 million.
Saint-Gobain completed the sale of its Dahl technical-trade businesses in Sweden, Norway and Denmark to Kesko on Monday, November 2, 2026. The transaction marks a completed portfolio change rather than a pending agreement.
Kesko's November 2 stock exchange release puts the debt-free transaction price at EUR 1.2 billion, excluding lease commitments. Kesko said the acquired companies will remain separate business units under the Dahl and Brødrene Dahl brands.
What changes for Saint-Gobain
The disposal covers specialist distribution activities in the three Nordic countries. The businesses generated combined illustrative sales of EUR 2.1 billion in 2025, according to Kesko. For Saint-Gobain, the completed transfer reduces the group's exposure to this distribution operation and advances the portfolio reshaping described in earlier reports.
Kesko will consolidate Dahl in its financial reporting from November 1, 2026. It expects one-time transaction costs of about EUR 9 million in 2026, treated as an item affecting comparability and therefore excluded from comparable operating profit. The buyer also expects the acquisition to support higher purchasing volumes, while the full transfer of information systems is expected to take 12 to 18 months.
