- Teva completed the purchase of BioXcel Therapeutics assets including worldwide rights to BXCL501 and IGALMI.
- BXCL501 remains under FDA review as a potential at-home treatment for acute agitation in adults with schizophrenia or bipolar disorder.
- The transaction adds a late-stage candidate while regulatory approval and commercialization remain pending.
Teva Pharmaceutical Industries completed the acquisition of neuroscience assets from BioXcel Therapeutics on October 27, 2026, including worldwide rights to BXCL501. The company announced the transaction in a Teva press release.
What Teva acquired
BXCL501 is an investigational dexmedetomidine sublingual film under FDA review for the acute treatment of agitation associated with schizophrenia or bipolar I or II disorder in adults. If approved, Teva said it could become the first FDA-approved treatment patients could use at home for this condition.
The asset purchase also includes worldwide rights to IGALMI, an FDA-approved dexmedetomidine sublingual film used to treat agitation in a hospital setting. Teva said the transaction did not include the acquisition of BioXcel Therapeutics itself and closed after approval by the U.S. Bankruptcy Court and satisfaction of other closing conditions.
Regulatory decision remains ahead
Teva paid USD 57.5 million upfront and could owe up to USD 67.5 million in contingent payments. The additional amounts are linked to regulatory approval timing, including possible delays, and specified sales milestones.
BXCL501's regulatory review is the next central catalyst for the program. The acquisition gives Teva a late-stage neuroscience opportunity, but approval and eventual commercialization are not assured.
