Cariverona is assessing how it could contribute to UniCredit's next governance structure, adding shareholder scrutiny to a leadership transition that will culminate with the bank's board renewal in spring 2027. The foundation's chairman, Bruno Giordano, made the comments on October 30 on the sidelines of Italy's Savings Day, according to Il Sole 24 Ore.
Shareholder role remains open
Giordano said Cariverona would make its assessment independently, guided by the quality of governance, the stability of the bank and long-term value creation. He did not rule out any option available under the regulatory and statutory framework, including a possible role in preparing candidate lists.
Cariverona has been a long-standing UniCredit shareholder and holds a stake of approximately 0.7 percent, according to the report. The foundation has maintained the position of a financial investor while monitoring developments at the bank. Its comments therefore leave open whether it will seek a more active role in shaping the next board.
Succession process moves ahead
Chairman Pier Carlo Padoan is due to leave at the end of his term for personal reasons. UniCredit's senior management is scheduled for renewal in spring 2027, and the bank will also have to choose a new chairman. No successor was named in the report.
The succession process puts governance continuity at the center of the investor debate. Cariverona's emphasis on independence and soundness points to the criteria it will apply as the next board structure takes shape, while the final outcome will depend on the nomination process and the subsequent shareholder vote.
