- Union Pacific appealed an order requiring public release of a recording of CEO Jim Vena's March speech.
- The railroad says the remarks were taken out of context and that publication could cause harm outside the proceeding.
- Opponents argue the appeal delays the review before the November 18 comment deadline.
Union Pacific stock is facing a new procedural dispute in the proposed Norfolk Southern merger review. On October 30, the railroad appealed an order requiring the public release of a recording of Chief Executive Jim Vena's March speech, according to Railfan & Railroad Magazine.

Appeal Challenges Speech Release
The recording came from a Houston meeting of the Southwest Association of Rail Shippers. Merger critics, including Canadian Pacific Kansas City, say Vena's remarks threatened higher rates for shippers that opposed the transaction and could discourage participation in the regulatory process.
Union Pacific rejects that interpretation. The railroad says it did not threaten anyone, that the comments were taken out of context and that publication could allow the recording to be edited or distributed outside the proceeding. As an alternative, the company offered to publish the video itself if the Surface Transportation Board kept it confidential.
Opponents Press Regulatory Case
CPKC has asked the Surface Transportation Board to terminate the merger review and argued that Union Pacific's filing missed an earlier appeal deadline. Union Pacific counters that its filing complied with the seven-day period allowed under the board's rules. BNSF, CSX and a coalition of shipper groups also objected, calling the appeal a delaying tactic.
The dispute adds a procedural risk to a transaction already facing scrutiny. Comments on the revised merger application are due November 18, 2026, while responses are due February 16, 2027.
