- China's market regulator attached six conditions to the acquisition of Chengdu Xinchao Media Group.
- The commitments address customer contracts, service quality, pricing, non-discrimination, exclusivity and antitrust compliance.
China's State Administration for Market Regulation conditionally approved Focus Media's acquisition of Chengdu Xinchao Media Group on October 10, 2026. The decision advances a transaction that combines two significant players in China's elevator advertising market.
The BRICS Competition Centre reported that the approval is the first conditional clearance of a concentration in China's advertising industry. According to the report, SAMR considered that the transaction could restrict competition in the elevator advertising market and therefore imposed six restrictive conditions.
What the conditions require
Focus Media and the combined business must continue existing customer contracts on the same commercial terms and maintain customer-service quality. They must also provide elevator-media advertising services on fair, reasonable and non-discriminatory terms, without unjustified restrictions on customer choice.
The remedies further limit pricing and contracting practices. Unless sufficiently justified, actual service prices in each city must not exceed the corresponding prices charged by Focus Media and Xinchao during the 24 months before the decision's effective date. Existing exclusive cooperation requirements must be abandoned, while new or renewed advertising-placement agreements may not include exclusivity clauses. The company must also strengthen its antitrust compliance system.
Investor context
The approval removes a major regulatory hurdle, but it does not by itself confirm that the transaction has been completed. The conditions constrain how the combined business can price services and negotiate access to advertising locations, which may limit immediate market-power benefits while providing clearer safeguards for advertisers and location holders.
Focus Media's own investor-relations page describes the company as an elevator-media advertising business covering more than 300 Chinese cities and more than 300 million elevator terminals. The company also states that its A-share stock code is 002027.
