- The recapitalization removes the term-loan burden and gives Hydrofarm more liquidity for its growth plans.
- Preferred-stock conversion and warrant exercise require shareholder approval and could dilute existing holders.
- Nasdaq compliance remains subject to continued monitoring, including the minimum bid-price rule.
Hydrofarm Holdings Group said on November 3, 2026, that it had eliminated its senior secured term loan as part of a recapitalization. The company also disclosed new financing terms and a plan to seek shareholder approval for securities issued to former lenders. The details were released by Hydrofarm.
Debt exchange changes capital structure
Hydrofarm said the recapitalization eliminated a USD 109 million term loan that had required approximately USD 12 million in annual debt service. Former lenders received USD 27.5 million of Series 1 non-voting convertible preferred stock and warrants for 27.5 million common shares. The preferred stock is convertible into common stock at USD 1.00 per share, while the lender warrants carry an exercise price of USD 0.78.
Separately, Hydrofarm raised approximately USD 8.3 million in gross proceeds through a registered direct offering and a concurrent private placement. The company said it now has no outstanding debt apart from an immaterial amount at a foreign subsidiary and expects enhanced liquidity after the recapitalization.
Shareholder approval remains ahead
The conversion of the preferred stock and exercise of the lender warrants require shareholder approval. Hydrofarm plans to file a proxy statement and hold a shareholder meeting as soon as practicable. If approved, the transactions would increase the common-share count and may create dilution for existing shareholders; the company also plans resale-registration filings for securities issued in the offering and to former lenders.
Hydrofarm said its pro forma stockholders' equity exceeds Nasdaq's USD 2.5 million minimum under the Equity Rule. However, Nasdaq will continue monitoring compliance with that rule and the USD 1 minimum bid-price requirement, and the company said there is no assurance that compliance will be maintained.
Business model and competition
Hydrofarm is a U.S.-based manufacturer and distributor of supplies and equipment for controlled-environment agriculture, including plant nutrition, growing media, horticultural lighting and climate-control products. Its proprietary brands are manufactured in Eugene, Oregon, while its logistics platform provides warehousing, fulfillment and distribution services across industries. The hydroponic nutrient market is moderately fragmented, with Hydrofarm competing alongside retail-distribution player GrowGeneration, diversified gardening company Scotts Miracle-Gro and specialist supplier Advanced Nutrients, according to Agriculture Industry Insights. Hydrofarm's position combines branded products with distribution and logistics capabilities rather than a single-product niche.
