- LabelVie approved the merger treaty on October 21, 2026, with an 8-for-11 share exchange.
- First-half 2026 revenue reached MAD 10.19 billion, up 16.8 percent year over year.
- The extraordinary meeting is scheduled for November 20, 2026, before LabelVie is delisted.
LabelVie (ISIN MA0000011801) approved an absorption merger with Retail Holding on October 21, 2026, with holders set to receive 8 Retail Holding shares for every 11 LabelVie shares, Le Matin reported. The transaction combines the merger with Retail Holding's planned initial public offering and would transfer LabelVie's listed status to the surviving company.
The merger changes the listing
The exchange ratio is the central term for current shareholders. Eleven LabelVie shares would become 8 Retail Holding shares, while the combined group seeks continued trading on the Casablanca Stock Exchange through the new listing.
The transaction transfers net assets of MAD 12.46 billion to Retail Holding. LabelVie would then be dissolved without liquidation and its shares removed from the exchange, subject to the conditions in the merger and IPO documents, Le Matin reported.
What does the exchange ratio mean?
The structure preserves a direct equity position for LabelVie holders rather than requiring a conventional cash subscription. Retail Holding's capital would rise from 1,168,395 to 2,225,131 shares, including 1,056,736 new shares issued for the merger, according to TelQuel.
Three dates define the transition
The chronology runs from the initial merger announcement on May 4, 2026, through LabelVie's first-half results on September 24, 2026, to the approved merger treaty on October 21, 2026. The earlier announcement targeted a combined 2030 revenue of MAD 47 billion against MAD 21.7 billion in 2025, Barlamane reported.
LabelVie also reported first-half 2026 revenue of MAD 10.19 billion, up 16.8 percent from the same period of 2025, while net income reached MAD 375 million, up 35.9 percent. The company opened 72 stores during the period, including 59 Supeco locations, Le Matin reported.
Dates for shareholders
The extraordinary meeting is scheduled for November 20, 2026, to decide on the merger terms. The next reporting date is listed as December 2, 2026, giving shareholders two dated milestones before the proposed listing transition, according to Investing.com.
LabelVie moves toward replacement
The exchange ratio, the asset transfer and the planned delisting make the merger more than a change in corporate ownership. They define how existing LabelVie holders would carry their investment into the listed Retail Holding structure.
