- Flashlight Capital Partners has asked Orion to halt its bid for JoongAng Ilbo and publish a clearer plan for surplus capital.
- The campaign also challenges payments to the controlling family and calls for executive compensation to be linked to the share price.
- Orion's overseas confectionery business and broader healthcare ambitions are now being weighed against demands for stronger shareholder returns.
Flashlight Capital Partners has launched a public campaign aimed at Orion's board, urging the South Korean food group to abandon its bid for JoongAng Ilbo and sharpen its capital-allocation policy. Seoul Economic Daily reported the campaign on October 19, 2026.
Activist demands reach beyond takeover
FCP asked the board to require the controlling family either to take registered board seats or stop receiving compensation. It also called for executive pay to be tied to the share price and for Orion to disclose a plan to use its surplus cash and financial assets to improve shareholder returns.
The fund set November 13 as the deadline for a response. Its intervention places the proposed JoongAng Ilbo transaction alongside broader questions about whether Orion's expansion beyond its core businesses can create more value than shareholder distributions.
Cash and diversification in focus
According to Seoul Economic Daily, Orion holds about 2.1 trillion South Korean won in net cash and financial assets, an amount described as more than half its market capitalization. FCP also criticized the company's pursuit of JoongAng Ilbo because the newspaper reported a net loss of 92 billion won in the first half of 2026.
Orion became the largest shareholder of Ligachem Biosciences after investing about 550 billion South Korean won for a 25.73 percent stake in 2024. The company has also submitted a letter of intent for JoongAng Ilbo and was named a qualified bidder while conducting due diligence.
Orion's operating base
Orion develops and sells confectionery products, including health-focused food brands, and is expanding into healthcare and biotechnology. Its website presents the group as a global food and healthcare company headquartered in Seoul, with overseas operations forming a major part of its business. Seoul Economic Daily described Orion as a leading South Korean confectionery company with about two-thirds of revenue generated overseas.
