- Samsung Peptide plans to pursue a squeeze-out and seek delisting of the remaining PolyPeptide shares after settlement.
Samsung Biologics is moving closer to taking control of PolyPeptide after its subsidiary Samsung Peptide reported a 97.99% participation rate in the public tender offer. The provisional result was published on November 2, 2026, according to an announcement published by Deutsche Boerse.
Offer Clears Major Participation Hurdle
Samsung Peptide and parties acting in concert held or received tenders for 32,458,892 PolyPeptide shares, equal to 97.99% of the issued share capital and voting rights. Shares tendered during the additional acceptance period represented 97.66% of PolyPeptide's issued share capital and 97.98% of the shares covered by the offer.
The result remains provisional. Regulatory approvals in several jurisdictions are still required, and settlement has been postponed. Based on the current approval process, the transaction is expected to be completed toward the end of 2026 or in the first quarter of 2027.
Next Steps Include Squeeze-Out
Samsung Peptide intends to pursue a squeeze-out of remaining public shareholders after settlement and plans to apply to SIX Exchange Regulation for a delisting of PolyPeptide shares. The deal therefore extends beyond a minority investment and could consolidate PolyPeptide's peptide manufacturing capabilities within Samsung Biologics' broader CDMO platform.
