YDUQS stock: Afya merger heads to November 25 vote

YDUQS approved the protocol for Afya's incorporation on November 4, 2026, and called an extraordinary shareholders' meeting for November 25. UOL reported that the proposed transaction would dissolve Afya and transfer its assets and obligations to YDUQS, which would remain listed on B3's Novo Mercado.

Deal Structure And Conditions

Under the proposed exchange ratio, each Afya Class A or Class B share would receive 6.408347 YDUQS ordinary shares, subject to downward rounding. On a fully diluted basis, Afya shareholders would hold 69 percent of the combined company, while YDUQS shareholders would hold 31 percent.

YDUQS estimates net present value synergies of 2 billion to 2.2 billion Brazilian reais and says 80 percent of the efficiencies could be captured during the first three years after closing. The company expects transaction costs of no more than 50 million Brazilian reais.

Completion depends on shareholder approvals at both companies, final and non-appealable approval from Brazil's Administrative Council for Economic Defense and other customary conditions. The November 25 meeting is the next formal decision point for YDUQS shareholders.
