Youngone stock gains focus after an ICC ruling cut its Scott cost by KRW 8.8 billion. Scott still faces a turnaround task.

Scott ruling reshapes Youngone outlook

  • An ICC arbitration ruling confirmed Youngone's call option and removed the need for an additional payment to Scott's former shareholder.
  • Youngone now holds 96.71% of Scott, while the bicycle business remains focused on restoring profitability.
  • The ruling gives Youngone greater control over Scott but does not remove the operating challenges in the bicycle market.

Youngone Corporation said on October 27 that an International Chamber of Commerce arbitration ruling had removed the final payment dispute over its acquisition of Scott shares. The tribunal ruled on October 19 that Youngone did not have to pay an additional amount from an escrow account to Scott's former second-largest shareholder, according to ChosunBiz.

The decision releases about KRW 8.836 billion that had been held in escrow. It also sets the final acquisition price for the 46.7% Scott stake held by Beat Zaugg at KRW 26.507 billion, or 75% of the initial valuation of KRW 35.343 billion.

Control rises as Scott remains a drag

Youngone's ownership of Scott rises to 96.71% after the ruling. The company had acquired 20% of the Swiss bicycle and ski equipment maker in 2013 and a further 30.01% in 2015, becoming its largest shareholder.

The legal uncertainty is now reduced, but Scott remains an operating challenge. ChosunBiz reported that Scott posted sales of KRW 1.1223 trillion and a net loss of KRW 129.7 billion last year. Weaker bicycle demand after the pandemic boom has left Scott loss-making through the first half of this year.

Youngone's operating model

Youngone is based in Seoul, South Korea, and manufactures clothing, footwear and related products for global outdoor brands. Its business includes technical apparel, footwear and equipment, while its investment in Scott gives it exposure to bicycles and winter sports equipment.

Youngone is positioned as a specialized supplier serving international outdoor brands, while Scott provides a separate consumer-facing sports equipment platform. The combination broadens the group's product reach, but the arbitration outcome does not by itself resolve Scott's profitability problem.

South Korean equity markets provide the wider setting for Youngone's shares. Current KOSPI market reports cover the broader regional trading environment.
