Barrick Gold Corporation is deepening its leadership bench under Chief Executive Officer Mark Hill, announcing two new C-suite appointments that signal an intensified focus on legal strategy and global government relations. The moves come as the mining giant navigates a complex operational landscape and prepares for significant corporate developments.

Strategic Appointments to the Executive Committee

The company has named James J. McGuire as its Chief Legal and Policy Officer and promoted Woo Lee to the role of Chief Global Affairs Officer. Both executives will report directly to CEO Mark Hill and join Barrick’s Executive Committee.

McGuire joins from law firm Greenspoon Marder LLP, where he served as a Litigation Partner and Managing Partner of the New York office. The company notes he brings over 30 years of legal experience, including a tenure as a federal prosecutor in the Southern District of New York.

Concurrent with this restructuring, Poupak Bahamin will transition into the position of General Counsel and Chief Compliance Officer, retaining her seat on the Executive Committee.

Elevating Global Government Engagement

Woo Lee’s promotion reflects the growing importance of state-level diplomacy for resource companies. Having spent 11 years with Barrick, most recently as Senior Vice President and Head of Government & Corporate Affairs for the Asia Pacific region, he will now oversee relationships with governments and state entities across all operational markets. His background includes service as a U.S. diplomat with the State Department, holding senior posts at embassies throughout the Asia-Pacific.

Barrick stated that these appointments institutionalize a sharper focus on Government Engagement and Public Policy as core competencies, essential for supporting its long-term strategy and value creation.

A Backdrop of Strong Performance and Ambitious Plans

This leadership expansion follows a period of robust financial results. Earlier this month, Barrick reported record fourth-quarter 2025 figures, including $6.00 billion in revenue, $2.73 billion in operating cash flow, and $1.62 billion in free cash flow. Its adjusted earnings came in at $1.04 per share, surpassing a cited consensus estimate of $0.85.

The board also raised the quarterly dividend to $0.42 per share—a 140% increase over the third-quarter payout—and instituted a new distribution policy aiming to return 50% of free cash flow to shareholders. The ex-dividend date is this Friday.

In a major strategic shift, the board has greenlit preparations for an initial public offering (IPO) of its North American gold assets, referred to as "NewCo." This entity is expected to hold Barrick’s 61.5% majority stake in Nevada Gold Mines, the Pueblo Viejo mine in the Dominican Republic, and the Fourmile discovery in Nevada. The IPO is anticipated to be finalized by the end of 2026.

Looking ahead to 2026, Barrick provided production guidance of 2.90 to 3.25 million ounces of gold (compared to 3.26 million ounces in 2025). All-in Sustaining Costs are projected to be between $1,760 and $1,950 per ounce, based on a assumed gold price of $4,500 per ounce. For copper, the company is targeting 190,000 to 220,000 tonnes.

The Imperative for Enhanced Oversight

The rationale for bolstering legal and governmental expertise is clear. Barrick operates in 17 countries across five continents, including jurisdictions with challenging political and regulatory environments such as Mali, the Democratic Republic of Congo, and Pakistan. The company’s successful resolution of disputes with Mali in November 2025 was cited as evidence of the critical nature of these relationships. Furthermore, the planned North American IPO is likely to involve intricate regulatory and compliance work, an area where seasoned legal leadership is paramount.

The coming months will therefore center on two parallel tracks: executing the IPO preparations ahead of the late-2026 target and managing the 2026 operational course to meet the stated production and cost objectives.
