BayWa stock slips below €11 as market skepticism grows over delayed turnaround plan, reliance on struggling renewable unit, and lack of audited 2025 financials.

BayWa shares fell 3.56% to €10.85 on Friday, slipping back below the psychologically important €11 mark and underscoring the market's deep skepticism toward the restructuring blueprint cobbled together in late June. The stock now sits only 11.63% above its 52-week low of €9.72, set just a few weeks ago on June 19, and has lost 35.22% since the start of the year.

The framework announced at the end of June is itself the product of a failed earlier turnaround effort. Management was forced to concede that the original plan to restore financial health by the end of 2028 was no longer achievable, and the target has been pushed to 2030. The culprit: a dramatic repricing of BayWa r.e., the renewable energy subsidiary that was supposed to be the group's exit ticket. The 51% stake was once expected to fetch €1.7 billion, but that estimate has now been slashed by roughly €800 million, reflecting the cyclical downturn in the wind and solar development market.

Under the new arrangement, the two anchor shareholders — Bayerische Raiffeisen-Beteiligungs-AG and Raiffeisen Agrar Invest AG — will park their shares with a trustee. That structure will dissolve only if they inject at least €220 million into a capital increase planned for 2029. Should they fail, the trustee is authorized to sell the shares. In parallel, BayWa's financing partners have agreed to convert up to €700 million of existing debt into subordinated instruments, a move that boosts the company's regulatory equity. The entire package remains subject to approval by all involved committees and is not expected to become legally binding before autumn 2026.

Should investors sell immediately? Or is it worth buying BayWa?

Alongside that, the spin-off of BayWa r.e. into the hands of a "transformational shareholder" is expected to reduce group liabilities by as much as €900 million through deconsolidation. The subsidiary's sale proceeds are earmarked to repay debt, offering a second line of defense if the core restructuring stumbles. Yet the fact that the rescue of the parent depends heavily on the orderly disposal of a unit that is itself struggling raises obvious questions about execution risk.

For all the constructive language from the boardroom, the market's verdict is written in the price action. The relative strength index sits at a neutral 46.2, offering no technical support. The shares trade 26.95% below their 200-day moving average, and on a 12-month basis they have shed nearly 50%. The annualized 30-day volatility of 75.92% signals that every fresh headline is capable of triggering violent swings. A brief 4.65% weekly bounce that followed the initial announcement has already evaporated, with Friday's decline erasing those gains.

What complicates matters further is the fog around the company's finances. BayWa has yet to publish an audited annual report for 2025, and the full consolidated financial statement is not expected until the fourth quarter of 2026. In the absence of verified figures, investors are left to gauge the plan's credibility almost entirely on trust.

Until the binding agreement is inked — a milestone still more than two years away — BayWa shares will remain a highly speculative, news-driven asset. The two big unknowns are whether the banks' €700 million subordination bet will hold and whether the twin pillars of the rescue (the shareholder trustee mechanism and the r.e. sale) can be converted from a framework into firm contracts. Every delay or sign of strain will likely push the stock back toward its lows; every sign of progress could offer a sharp, short-lived relief rally. For now, the November 2026 deadline is the only clear line on the calendar.
