Commerzbank reports strong Q1 2026 profit, raises guidance to €3.4bn; shareholders approve generous payouts as UniCredit's takeover bid falters with only 0.02% tendered.

When the world’s largest asset manager trims its stake ever so slightly, it can send a jolt through the market. BlackRock’s recent reduction in Commerzbank from 5.12% to 5.05% barely registered on the share price, but the move underscores a broader pattern: even as institutional investors tweak positions, they remain firmly behind Germany’s second-largest private lender. The US group still holds 4.54% directly in shares and another 0.51% via financial instruments.

The real story, however, is the operational momentum that has given Commerzbank’s board the confidence to push ahead with an ambitious independence plan. First?quarter 2026 figures delivered a clear shot across the bow of suitor UniCredit. Operating profit climbed to €1.36bn, while net income rose roughly 10% year?on?year to €913mn. Net interest income held steady at €2bn despite the European Central Bank’s rate cuts, and the cost?income ratio improved to 53%. Management promptly lifted its full?year net profit guidance from “above €3.2bn” to at least €3.4bn.

That improved backdrop has done little to warm shareholders to the Italian lender’s overture. With the acceptance deadline set for 3 July 2026, just 0.02% of Commerzbank shares have been tendered. On 15 May the offer’s implied value stood at €34.56 per share, while the stock closed at €36.48 – a discount that the German bank’s supervisory and management boards have repeatedly called “clearly below fair value”. Today the shares change hands at around €37.20, only 1.5% shy of their 52?week high, with an RSI of 72.5 indicating buyers are still piling in despite overbought conditions.

Shareholder sentiment was on full display at the annual general meeting in Wiesbaden on 20 May. The dividend of €1.10 per share – a chunky increase – sailed through with 99.88% approval, and the authorization for share buybacks garnered 96.25% support. Together, dividends and buybacks for the 2025 financial year amount to roughly €2.7bn returned to investors. The bank plans to pay out the entirety of net profit going forward, provided its common equity Tier 1 ratio stays above 13.5%.

Those generous payouts are backed by medium?term targets that look even more ambitious. Under the “Momentum 2030” programme, Commerzbank aims for net income of €5.9bn, revenues of €16.8bn and a return on equity of 21%. To get there, the lender will plough €600mn into artificial intelligence and shed jobs at a cost of around €450mn, though the workforce reduction will be handled socially through natural attrition and phased retirement.

The immediate calendar offers two important catalysts. On 4 June the bank will present at a Goldman Sachs conference, and second?quarter results are due on 6 August. Those numbers will show whether the operational momentum can justify the current share price – and whether the takeover saga, already all but dead in the water, can be definitively laid to rest. BlackRock’s continued presence, albeit at a marginally lower weight, suggests institutional conviction has not wavered. For now, Commerzbank’s stand?alone story appears to be finding more buyers than its Italian alternative.
