Critical Metals Review of Wolfsberg Adds Uncertainty to European Lithium Merger Vote
Published on 07/20/2026 at 03:21 | Redaktion boerse-global.deEuropean Lithium is barreling toward a pivotal shareholder vote on its merger with Critical Metals Corp, but a parallel strategic review at the US-listed partner is injecting fresh uncertainty — and the stock is reacting accordingly. Shares closed at €0.1718 on Friday, down 8.32% in a single session, even as the company reaffirmed plans to dispatch the merger’s detailed Scheme Booklet by late July or early August 2026.
The decline comes despite a year-to-date gain of 89.62% and a remarkable 238.19% advance over the past twelve months. The 52-week high of €0.3055, set on June 2, now sits nearly 44% higher than the current price. The 30-day annualized volatility sits at 83.61%, underscoring the extreme moves in both directions that have characterised the stock’s recent trajectory.
The immediate source of market unease is a strategic review launched by Critical Metals Corp on July 8. The company has hired investment bank Clear Street to examine all assets deemed non-core to the merged entity. While the centrepiece of the combined group will remain the Tanbreez rare-earth project in Greenland, European Lithium’s Wolfsberg lithium project in Austria is now under scrutiny. Critical Metals is weighing a spin-off, a joint venture, or a full sale, with the stated goal of maximising shareholder value. No decision has been announced.
Should investors sell immediately? Or is it worth buying European Lithium?
The merger itself is taking on a more detailed shape. Under the agreed terms, European Lithium shareholders will receive 0.035 Critical Metals Corp shares for each share they hold, giving them between 41% and 45% of the enlarged company. The rationale is that holders will swap less-liquid shares for a NASDAQ-traded security with greater tradability. Two recently added features aim to ease the transition for smaller investors. A new “Sale Facility” allows anyone holding 50,000 shares or options on the record date to have a designated agent sell the Critical Metals shares on the open market and receive the cash proceeds directly. Furthermore, the structure has been simplified: the combined entity will issue ordinary shares of Critical Metals Corp outright, instead of the originally planned CHESS Depository Interests.
Chart technicians see a market that may be overreacting. The 14-day relative strength index has fallen to 29.9, placing the stock in oversold territory—a zone that often attracts contrarian buying. At the same time, the current price is still 5.08% above the 200-day moving average of €0.1635, suggesting the long-term uptrend remains intact, if tested.
The coming weeks will be decisive. The Scheme Booklet, which will include an independent expert’s report on whether the merger is in shareholders’ best interests, is slated for release by early August. Scheme Meetings are expected to be held in late August 2026, with final completion targeted for early September 2026, pending court approval and other conditions.
Until then, European Lithium shares are caught between two opposing forces: the structural promise of a NASDAQ listing and the tactical uncertainty surrounding the future of its flagship Austrian project. The 33.41% monthly slide suggests the market is pricing in more caution than confidence—at least for now.
