A company with a market value of just $117 million is attempting to swallow a $1.5 billion acquisition. This stark contrast defines the high-stakes transformation underway at Diginex, which is pivoting from its niche ESG focus to become a global artificial intelligence player through the takeover of Resulticks Global Companies. The ambitious move comes as the firm simultaneously battles to maintain its listing on the Nasdaq stock exchange.

The acquisition target, Resulticks, is a profitable and rapidly growing entity. It generated approximately $150 million in revenue last year with an operating profit of $46 million, reflecting a robust EBITDA margin of 32%. The specialist in AI-driven customer data has grown at an average annual rate of 70% over the past five years. Management projects this growth will continue, forecasting revenue of up to $210 million for the current fiscal year and a potential climb to $280 million in 2027.

Financing this colossal deal requires no fresh cash. The entire $1.5 billion price tag will be paid through a stock-for-stock transaction, with Resulticks shareholders receiving Diginex shares at a fixed price of $1.32 per share. This structure will result in significant dilution for existing Diginex shareholders, a fact the market is weighing carefully. The scale of the purchase price dramatically overshadows Diginex's own recent financials, where half-year revenue, while growing rapidly, stood at a modest $2.0 million and the operating loss widened to $6.0 million.

Should investors sell immediately? Or is it worth buying Diginex?

While orchestrating this strategic shift, Diginex faces a pressing threat from regulators. The Nasdaq has issued a formal warning because the company's share price traded below the critical $1 threshold for too long. In response, shareholders approved an 8-to-1 reverse stock split at an extraordinary general meeting in mid-April. The goal is to force the share price to close above $1 for ten consecutive trading days. The deadline to achieve this compliance is September 21, 2026; failure would trigger an immediate delisting from the US technology exchange.

Despite the looming Nasdaq deadline and the impending shareholder dilution, some major financial institutions are increasing their stakes. Recent mandatory disclosures show position buildups by heavyweights including UBS and Bank of America. The company has also prepared for this aggressive restructuring by authorizing 495 million new ordinary shares and restructuring an existing credit facility through the end of 2026 to secure financial flexibility.

The transaction's completion is anticipated within the next 30 to 45 days. Once customary closing conditions are met, Diginex will formally shed its identity as a small niche provider. Management plans to present the integrated corporate strategy for the new entity in the second quarter of 2026, marking the beginning of its attempt to operate in a completely different league.
