DroneShield's financial momentum has never looked stronger, yet the counter-drone specialist finds itself navigating a shareholder rebellion that could reshape its boardroom. The Australian company reported FY2025 revenue of A$216.5 million, a 276% surge from the prior year, and ended the period with A$210 million in cash and term deposits. But the upbeat numbers were overshadowed by a narrow defeat of its remuneration report at the annual general meeting.

Shareholders cast 50.5% of votes against the remuneration report, triggering what Australian corporate law terms a "first strike". Should more than 25% vote against next year's report, investors can call for a spill of the entire board. The vote underscores deepening unease over executive pay even as the company delivers exponential growth — EBITDA hit A$36.5 million and net profit swung to A$3.5 million from a loss of A$1.3 million a year earlier.

The most contentious resolution concerned 290,375 performance options granted to managing director Angus Bean. The proposal passed with 55.8% support, but 44.2% voted against — a sign that nearly half the shareholder base questions the incentive structure. The options are tied to a three-year performance period starting 1 April 2026, with hurdles set at A$300 million, A$400 million and A$500 million in rolling 12-month revenue or customer payments. Each tranche represents one-third of the options. A retention clause means that if a target is met, only half of the corresponding options vest immediately; the remainder vests after a further 12 months, conditional on Bean's continued employment.

Other resolutions sailed through with strong majorities. Hamish McLennan was elected as a director with 82.4% support and now chairs the board. A proposal to raise the maximum aggregate compensation for non-executive directors to A$1.7 million per year from 1 May 2026 received 87.2% approval.

The pay revolt is not the only governance headache. Australia's corporate regulator, ASIC, is investigating events from November 2025. DroneShield has said it is cooperating fully. In response, the board set up an independent committee last year, enlisted law firm Herbert Smith Freehills Kramer to review governance structures, and introduced new rules on insider trading, disclosure obligations and blackout periods.

DroneShield's underlying business performance provides a powerful counterpoint. The first quarter of FY2026 continued the trend, with revenue of A$74 million and a fourth consecutive quarter of positive operating cash flow. The company's cash position remains robust, underpinning its ability to invest in the booming counter-drone market.

The stock closed at €2.04 on Friday, up almost 2% on the day, suggesting investors are not yet panicking. Over seven days the shares have gained 9.2%, and year-to-date they are up 2.7%. The 12-month return stands at 175.5%. However, the price remains 44% off its 52-week high of €3.65. The relative strength index of 40.3 points to neutral territory with a slight lean towards oversold conditions.
