Emcore Completes Privatization Following Acquisition

Investors looking for Emcore shares today will find them absent from active trading screens. The company's transition to private ownership was finalized in February 2025 after its complete acquisition by Velocity One Holdings, marking its departure from public markets.

The move to take Emcore private culminated nearly a year ago with shareholder approval of the merger. Velocity One Holdings, an investment platform of Charlesbank Capital Partners, acquired the company, leading to the cancellation of all outstanding publicly traded shares.

Key financial terms of the deal included:
* Cash Consideration: Shareholders received a payment of $3.10 per share.
* Equity Valuation: The transaction placed an equity value of approximately $37 million on Emcore.
* Market Exit: Official trading on the Nasdaq exchange ceased on February 28, 2025.

Former equity holders received an automatic cash payout for shares owned at the time of the merger's completion. The deal also converted outstanding stock options and Restricted Stock Units (RSUs) into cash entitlements based on the $3.10 acquisition price.

Strategic Focus on Defense and Aerospace

Behind the scenes, the new ownership is advancing Emcore's integration into the aerospace and defense sector. The company has been merged with other Velocity One portfolio units, including Cartridge Actuated Devices and Aerosphere Power.

Emcore's strategic direction is now fully centered on inertial navigation systems, following the divestiture of its chip division prior to the acquisition. These technologies are integral components in major defense programs, such as the MK 48 torpedo and various launch vehicles. A return to public capital markets under the old EMKR ticker symbol is not anticipated in the foreseeable future.
