European Lithium Simplifies Merger Mechanics, Offers Small Holders Direct Shares and Cash Option

The changes, announced ahead of a shareholder vote in late August, eliminate a planned depository structure and introduce a dedicated sale facility for investors with 50,000 or fewer securities.
Under the revised framework, eligible investors can instruct a designated broker to sell their allotted Critical Metals shares directly on the open market. The net proceeds are then remitted in cash, bypassing the need for small portfolios to navigate a costly and complex US equities account. At the same time, the previously envisioned CDI (CHESS Depositary Interest) mechanism has been scrapped entirely. Shareholders who qualify will receive ordinary shares in Critical Metals Corp booked straight into their existing deposit accounts, trimming administrative overhead.
The operational heart of the transaction remains unchanged: the Wolfsberg lithium project in Carinthia, Austria. Dubbed Europe’s first fully permitted lithium mine, the site has locked in a long-term offtake agreement with BMW, anchoring its place in the regional battery supply chain. Critical Metals intends to leverage that infrastructure and the existing sales contract as it positions itself as a pure-play western raw materials supplier.

The market response to the latest announcements has been muted. Shares of European Lithium closed Wednesday at €0.21, posting a weekly loss of roughly 12 percent. Profit-taking appears to be at work after a blistering year: the stock still boasts a year-to-date gain of 443 percent.
Once the merger completes, scheduled for September 2026, existing European Lithium shareholders will hold approximately 41 percent of the combined entity. The ownership split underscores the value attributed to the Wolfsberg asset and the NASDAQ listing that awaits the merged group.
The next milestones are now fixed. Early August, management will dispatch the official information memorandum along with an independent expert report. Shareholders will then cast their final vote in late August. Provided the required court approvals and shareholder nods fall into place, the deal should be consummated by next September.
