The annual general meeting on June 30 will be a pivotal moment for Kontron, with shareholders set to approve a dividend of €0.60 per share — unchanged from last year. But the real weight on the stock right now comes from the mandatory offer announced by majority shareholder Ennoconn, which effectively caps the upside at €23.50 per share. That price level has become a psychological anchor, and with the stock recently closing at €23.16, the room for manoeuvre is narrowing.

Supporting the stock in the run-up to the AGM was an aggressive share buyback programme. Kontron had authorised the repurchase of up to 2.9 million shares for a maximum of €50 million. By mid-June, the company had already snapped up nearly 1.37 million shares, using some of them to cover employee stock options. However, the buyback was suspended after the mandatory offer was announced, removing a steady source of demand from the market at a critical juncture.

Technically, the shares are clinging to a key level. The 200-day moving average sits at €23.02, just 0.6% below the current price. The RSI reading of 54.2 points to a neutral market — no overheating, no panic. The 52-week high of €28.66 offers a theoretical upside of nearly 24%, while the low of €16.69 provides a safety net far below. But with 30-day volatility at 15.32%, the buffer above the 200-day line is thin.

Should investors sell immediately? Or is it worth buying Kontron?

Operationally, the company is navigating a period of promised recovery. Management has flagged that customer deliveries delayed by supply chain bottlenecks in the first quarter will be cleared by year-end. The struggling GreenTec division is not expected to return to profitability before the fourth quarter of 2026. Both are forward-looking statements, not achieved results. The market is waiting for tangible proof that order backlogs convert into revenue and that margins hold up.

Kontron has also shifted its growth strategy away from acquisitions toward organic expansion. That approach requires flawless execution, especially in its focus areas of cybersecurity, defence and transportation. A recent cybersecurity contract in Central and Eastern Europe suggests the narrative has some real-world backing.

The biggest risk remains the supply chain. Certain components are said to be allocated due to AI-driven demand, meaning the expected clearance of delivery delays could slip further into later quarters. If that happens, the share price could quickly dip below the 200-day moving average, and the recovery from the 52-week low would look more like a technical bounce than a new uptrend.

The next concrete catalyst is the half-year report due in August. By then, the market will want to see clear evidence that delivery backlogs are shrinking and that earnings quality supports the company's annual guidance. For now, Kontron remains in a waiting game — supported by the Ennoconn bid floor, but constrained by the need for operational delivery.
