The investment holding company Mutares is accelerating the pace of its portfolio restructuring as it moves into the second quarter of 2026. A packed schedule of acquisitions and divestments is underway, with a particular strategic focus on the lucrative energy and defense sectors. One pending takeover is so substantial it is compelling a reorganization of the corporate structure.
Strategic Exits and a Landmark Acquisition Drive Activity
Following an active start to the year marked by three signed purchases and six sales, the company is now moving toward closing these deals. Management is preparing to finalize five acquisitions. Three of these transactions alone are set to contribute a combined annualized revenue of nearly €2.5 billion to the group:
- Wärtsilä's Gas Solutions division
- The flooring business of Hamberger Industriewerke
- SABIC's Engineering Thermoplastics (ETP) operations in the Americas and Europe
The SABIC deal stands out as the most significant. With annual revenue of approximately €2 billion, equity of nearly €2 billion, and a historical operating profit exceeding €500 million, this acquisition presents substantial value-creation potential. Concurrently, Mutares is advancing its divestment strategy, anticipating four closings in the current quarter, including the exits of Conexus, Kalzip, inTime, and Relobus.
Organizational Shifts and Defense Sector Focus
The sheer scale of the SABIC acquisition is prompting internal changes. Starting this fiscal year, the holding company will introduce a new "Chemicals & Materials" segment to house early to low-cyclical businesses. Furthermore, due to growing opportunities, plans are in place to establish a second operational site in the United States within the next twelve months.

In parallel, management is sharpening its focus on energy infrastructure and defense. Soaring government budgets in these areas are driving demand and valuations for operationally stabilized companies. Financially, the company has set ambitious goals. For 2026, the group is targeting revenue between €7.9 billion and €9.1 billion, with the holding company's net income expected to land between €165 million and €200 million. Looking further ahead, Mutares aims for annual profit growth of 25 percent through 2030.
This operational optimism is accompanied by an ongoing coordination process with bondholders. The company requires a temporary waiver from its bond creditors regarding compliance with a specific financial covenant. Initial discussions with major investors have been positive, particularly as Mutares intends to continuously reduce the 2023/2027 bond through buybacks.
