Nebius Secures $775M Non-Dilutive Loan for GPU Expansion Amid Stock Volatility

Nebius has found a way to finance its sprawling GPU buildout without issuing new equity, yet the market’s response remains anything but settled. The Dutch cloud and AI infrastructure specialist closed on a $775 million secured credit facility in mid-July, backed by already deployed GPU capacity and contractual payment streams from an investment-grade client. The move was designed to answer the most persistent question hanging over the stock: how will Nebius fund its capital-intensive expansion without diluting shareholders?

The loan, maturing on October 31, 2030, carries an interest rate of SOFR plus 2.50 percentage points. Crucially, the company says the combination of client cash flows and the facility covers more than 100% of the investment costs for the underlying GPU infrastructure. That structure turns its customer contracts into a collateral pool — a model Nebius intends to replicate. Management points to more than $40 billion in additional contracted revenue from hyperscalers including Microsoft and Meta, arguing that similar non-dilutive financing can be secured on comparable terms going forward.

The financing package doesn’t stand alone. Nvidia had previously stepped in with $2 billion in pre-funded warrants. And just days before the loan announcement, on July 14, Nebius inked a $1 billion compute-capacity deal with Reflection AI. The net effect: Nebius has been layering capital from banks, chipmakers, and clients without tapping the equity markets.

Financial Momentum Masks the Capital Hunger

The numbers behind the narrative are striking. First-quarter revenue surged 684% year over year to $399 million, with the cloud AI segment jumping 841% to $389.7 million. The company held $9.3 billion in cash as of March 31, following earlier capital raises that brought in $6.3 billion. Yet the flip side is a capex bill that dwarfs those figures: Nebius expects to spend between $20 billion and $25 billion in 2026 alone, with one commonly cited guidance midpoint around $22.5 billion. For context, 2025 full-year revenue was just $529.8 million, and the company posted a net loss of $446.7 million.

Should investors sell immediately? Or is it worth buying Nebius?

That chasm between revenue and spending explains why the secured loan matters. It also explains why the stock’s valuation remains stretched — the trailing price-to-earnings multiple hovers around 70 times prior earnings. Analysts are split: the consensus stands at nine buy and six hold ratings, with an average price target of $203.25. But the debate is open about whether the combination of high growth, high leverage, and high multiples is a recipe for compound gains or a trap.

Stock Swings Tell the Real Story

Despite the positive financing news, Nebius shares have been anything but stable. On the Monday following the loan announcement, the stock rose 4.03% to €161.78 in Amsterdam. The Reflection AI deal had already driven a 4% gain in mid-July. But those gains evaporated quickly. Over the seven days through July 19, the stock dropped more than 19%, with a 14% decline partially offset by an 8% bounce. Pre-market trading recently had the stock at €157.78, up 1.45%, but the monthly loss stood at 35.91%, and the share price sat 39.55% below the all-time high of €261 reached on June 22.

The chart captures the tension. At €161.78, Nebius trades 38.02% below its 52-week peak but still 272.76% above its 52-week low of €43.40 from July 2025. It sits 18.37% under its 50-day moving average of €198.18 yet 35.35% above its 200-day average of €119.53 — a sign that the short-term trend has broken while the long-term uptrend, supported by growing contract revenue, remains intact. The annualized 30-day volatility of 104.79% confirms that the stock is swinging in wide arcs on every piece of news about GPU supply, power expansion, or customer commitments.

Nebius at a turning point? This analysis reveals what investors need to know now.

Institutional Confidence vs. Insider Caution

The volatility hasn’t scared off all large investors. Jennison Associates opened a new position of 1,700,223 shares worth $176.4 million in the first quarter, representing 0.68% of the company. Overall institutional ownership stands at 21.9%. Yet insiders have been selling: over the past three months, they disposed of 668,405 shares valued at $140.4 million, including a single transaction of 31,357 shares. The contrasting moves suggest institutional buyers see long-term value in the contract backlog and financing model, while insiders may be locking in profits after the stock’s dramatic run.

Nebius now trades with a market capitalization of roughly €39.44 billion — a price that already embeds a structural victory in the AI infrastructure race. Whether that thesis holds depends on execution: capacity utilization, margin progression, and the pace of further GPU and power deployment. The secured loan offers a template for growth without dilution, but the stock’s daily swings show that the market is still warring between conviction in the long-term story and the temptation to take profits when the news flow turns noisy.
