Ocugen has turned a financial page just as its lead gene therapy program reaches a regulatory threshold. The biotech company raised roughly $115 million through convertible notes — a figure that could climb to $130 million if the over-allotment option is fully exercised — and immediately used a chunk of the proceeds to extinguish a costly liability. A $32.7 million loan carrying a 12.5% interest rate was paid off in full, leaving the balance sheet cleaner and the cash runway extended to 2028. On a pro-forma basis, Ocugen now holds $112.1 million in liquid assets.

The refinancing comes at a pivotal moment. Ocugen plans to begin a rolling Biologics License Application for OCU400, its gene therapy for retinitis pigmentosa, in the third quarter of 2026. The submission will be staged rather than delivered as a single package. Three manufacturing qualification batches, known as PPQ runs, are expected to be completed by the end of the second quarter. Final phase 3 data from the liMeliGhT study — fully enrolled — are due in early 2027, and if all goes to plan, approval could follow the same year.

Alongside OCU400, Ocugen is advancing a second gene therapy candidate, OCU410, for geographic atrophy secondary to dry age-related macular degeneration. In phase 2, the optimal dose reduced lesion growth by 31%. The company now aims to kick off a pivotal phase 3 study in the third quarter, with the final trial design still being finalised with regulators. A third program, OCU410ST for Stargardt disease, is scheduled for an interim analysis in the same quarter.

Should investors sell immediately? Or is it worth buying Ocugen?

The shares have not shared in the pipeline optimism. At €1.20, the stock sits 44.86% below its 52-week high of €2.17, set in March. It also trades below its 50-day moving average of €1.45, a technical signal that has weighed on sentiment. Over the trailing 12 months, however, the shares are still up 60.24%, and year-to-date gains stand at a more modest 1.18%. The implied annualised volatility of 83.45% underlines the biotech’s characteristic price swings. Ocugen's market capitalisation is approximately $467 million.

First-quarter results offered a mixed picture. Revenue came in at $1.53 million, beating analyst estimates, but the net loss per share of $0.06 missed forecasts by a penny. The next quarterly report is due in the third quarter.

Analysts have recently raised their earnings estimates for Ocugen, a sign that the market is starting to price in the potential of a commercial launch. Still, the dilution from the convertible notes remains a near-term concern for some investors, who are watching to see whether the extended financing runway offsets the hit to per-share metrics.

Ocugen’s virtual annual general meeting is set for June, where shareholders will vote on routine resolutions and hear strategic updates. Management is expected to address how the new capital will be deployed across the pipeline, and whether the clinical timelines outlined for OCU400, OCU410 and OCU410ST remain on track. The third quarter — with its BLA initiation, phase 3 launch, and interim readout — will be the clearest test yet of the company's ability to transform from a clinical-stage developer into a commercial operation.
