Palantir heads into its annual shareholder meeting on Wednesday 3 June with the stock flying high after its best single-day rally in a year — and a growing chorus of institutional investors demanding tougher human rights oversight. The tension between blockbuster financials and deepening governance concerns has turned the vote into a litmus test for the company's long-term relationship with some of the world's largest asset managers.

The meeting, which begins at 10:00 am Eastern Time, will see shareholders vote on two key proposals that the board has urged them to reject. Proposal 5 calls for an independent, publicly available human rights impact assessment, citing Palantir's technology being used in immigration enforcement — including an 84% surge in ICE detentions and record deaths in custody since January 2025. A second proposal demands a report on political donations. Neither is binding, but the backing of Norges Bank Investment Management, which controls Norway's $2.3 trillion sovereign wealth fund, gives them significant weight.

Norway's fund, the world's largest, announced its intention to vote for both proposals ahead of the meeting. The move is particularly striking because the fund had loosened parts of its ethics rules in 2025 — a change critics said shielded tech companies with Israel ties — and had actually increased its Palantir stake. The public pre-announcement signals the fund wants to register discomfort without divesting. Norway is not alone. In February, the New York City comptroller demanded an independent risk review of Palantir's work with the Department of Homeland Security and ICE. The Dutch pension giant ABP has already sold its entire Palantir holding, and pressure is building on pension funds in several US states to follow suit.

A Tech Titan on a Tear

The governance storm is hitting Palantir during a period of extraordinary financial strength. First-quarter 2026 revenue jumped 85% year-on-year to $1.633 billion, with US government contracts contributing $687 million alone. The US commercial segment surged 133% to $595 million. Management raised full-year guidance to a range of $7.65 billion to $7.66 billion — growth of 71%.

The stock closed Friday at €134.18, up 9.04% in its best session in 12 months. The trigger was Dell Technologies' quarterly report, which confirmed booming AI server demand and highlighted Palantir's software integration in Dell's AI Factory. Snowflake's strong results added fuel to a broader software rally. Over two weeks, Palantir shares have gained 17.06%, with trading volume on Friday hitting 92.2 million shares — more than double the daily average of 38.78 million.

Yet momentum indicators flash warning signs. The relative strength index stood at 86.3 on a seven-day basis and at 89.9 over the longer two-week window, both deep in overbought territory. The stock remains 25.40% below its all-time high of €179.86 from November 2025 and is down 6.23% year-to-date.

Thiel's Buenos Aires Gambit

Adding a layer of political friction is the founder and chairman's personal moves. Peter Thiel has purchased a $12 million villa in Buenos Aires and temporarily relocated his family to Argentina, enrolling his children in local schools since April 2026. He has held meetings with President Javier Milei, Economy Minister Luis Caputo, and Deregulation Minister Federico Sturzenegger. Reasons cited include concerns over taxes — more than half of California's voters now support a proposed annual 5% wealth tax on billionaires — as well as fears of nuclear war and AI risks. Thiel left California at the end of 2025 ahead of a key year-end deadline.

The Argentina connection has drawn local criticism. Opposition lawmaker Elisa "Lilita" CarriĂł posted on X that "what Peter Thiel is doing is terrible," referring to his Palantir stake. Reports suggest the Milei administration is considering granting Thiel permanent residency or citizenship, though a presidential spokesman denied the claim.

Insider trading activity has not matched the stock's rally. In March, Thiel sold roughly 2 million shares at prices between $141 and $147. CEO Alex Karp offloaded more than 490,000 Class A shares in February at $132 to $135. No notable insider buying has appeared recently.

The Voting Structure Wall

Even if the human rights and political spending proposals receive majority support from independent shareholders, Palantir's dual-class structure means they are unlikely to pass. All Class F shares are held in a voting vehicle controlled by founders Thiel, Karp, and Stephen Cohen, which can command up to 49.999999% of total voting rights as long as certain minimum stakes are maintained. Critics argue this concentration makes Palantir resistant to governance reform despite rapid growth.

The Pentagon's recent elevation of Palantir's AI system Maven to an official program — securing long-term military use — underscores the strategic importance of the company's technology. But long-term government contracts also depend on trust in corporate governance. For now, the stock's price-to-earnings multiple assumes sustained growth. The next earnings report, for the second quarter, is due on 3 August, with analysts estimating earnings per share of $0.33.

Wednesday's vote will not settle the governance debate. If the proposals fail, pressure will simply shift to the next round. If they succeed against board opposition, it would send an unmistakable signal that even the most powerful founders can no longer ignore the ethical scrutiny of the world's largest owners. Either way, Palantir's governance crossroads has arrived.
