Plug Power Enters a Decisive June: Interest Due, Shareholders Vote, and a Property Sale Looms

June arrived with a trio of events that will test Plug Power’s financial discipline and strategic execution. The hydrogen specialist made its first interest payment on a $431.25 million convertible note — a $14.6 million outlay due June 1 that, while modest in absolute terms, serves as a symbolic check on liquidity management. But the calendar barely pauses: a major shareholder meeting on June 11 includes a dilution vote, and a property sale worth up to $142 million must close by June 30.
The convertible note, issued in November 2025, carries a 6.75% coupon with semi-annual payments on June 1 and December 1. No conversions occurred in the first quarter, and Plug Power met all associated covenants. However, the bond’s book value swelled from $431 million at the end of 2025 to $502.8 million by March 31, 2026, driven by a $70.8 million non-cash revaluation that hit GAAP earnings. Interest and discount amortization alone cost $8.2 million in Q1.
Liquidity Under the Microscope
Plug Power reported more than $802 million in total liquidity at quarter-end, but only $223 million was freely available. The remainder was tied up: $328 million as collateral for sale-and-leaseback agreements and $170.7 million for bank guarantees. The company expects restricted cash to be released at roughly $50 million per quarter, gradually widening its cushion.
That cushion will be critical as Plug Power executes an asset monetization program designed to unlock over $275 million. The centerpiece is the sale of a New York property, with proceeds ranging from $132.5 million to $142 million depending on timing. Closing must occur by June 30 — a hard deadline that will be an early litmus test for management’s ability to generate liquidity from non-core assets.

On June 11, shareholders will gather virtually for the annual meeting. If approved, the move would represent meaningful dilution for existing holders, though management frames it as necessary to retain and incentivize talent during the turnaround.
The stock has surged nearly 98% since early March, fueled by a Q1 earnings report that showed tangible progress. Revenue climbed 22% to $163.5 million, and GAAP gross margin improved sharply from minus 55% to minus 13%. Chief Financial Officer Paul Middleton called the quarter a “turning point.” The adjusted loss per share narrowed to $0.08. For the full year, the company targets 13% to 15% revenue growth, with roughly 60% of sales concentrated in the second half.
Electrolyzer Momentum Meets Analyst Skepticism
Operating momentum is most visible in Europe. Plug Power is finalizing a 25-megawatt project with Iberdrola and BP in Spain and installing a 100-megawatt PEM electrolyzer for Galp in Portugal — one of the continent’s largest. Electrolyzer revenue surged 343% in Q1 to $40.8 million. The company now has more than 320 megawatts of installed capacity and a project pipeline exceeding $8 billion.

Wall Street remains split. Of 22 analysts, five rate the stock a “Strong Buy,” 14 a “Hold,” and three a “Strong Sell.” B. Riley raised its price target from $3 to $5 with a “Buy” rating, while BMO Capital maintained “Underperform” but lifted its target from $1 to $1.20, citing higher-than-expected cash burn in Q1 and the thin $223 million free cash buffer. Oppenheimer noted “significant progress” on cost control and expects liquidity inflows from asset sales in Q2 and Q3.
Technically, the stock closed near $3.94 on Monday — about 57% above its 200-day moving average but roughly 5% below the 52-week high set on May 27. The relative strength index of 24.7 signals an oversold condition, suggesting some traders see a short-term bounce. Yet the path forward hinges on two numbers: whether the New York property closes by June 30, and how quickly restricted cash becomes free. The December interest payment will be the next tell.
