The market is taking a cautious view of Primary Hydrogen’s leadership overhaul, with shares dropping 10.79 percent to €0.6200 on Wednesday as investors digest the implications of a new chief executive at the Canadian natural hydrogen explorer.

David Jackson stepped into the roles of president and CEO on July 20, succeeding Benjamin Asuncion, who remains on the board as a director. The transition marks a notable shift in management style at the Calgary-based company, which trades on the TSX Venture Exchange under the ticker HDRO. Jackson arrives not from the geology world but from a career spanning real estate development and health technology. Most recently, he served as president and managing partner of a veterinary technology manufacturer with distribution across 56 countries, where he oversaw scaling efforts before the company was acquired by a global health technology conglomerate in 2024. He then stayed on as managing director to manage the two-year transition period for the buyer.

The board has given Jackson a clear incentive to drive shareholder value. He received stock options covering up to 235,000 common shares at an exercise price of C$1.16 per share, with a five-year term. The options vest fully four months and one day after the grant date. With the current share price sitting well below that strike level, the package signals that the board expects a significant revaluation before Jackson’s options carry any intrinsic value.

The stock’s decline comes despite fresh capital on the balance sheet. On July 8, Primary Hydrogen closed a non-brokered private placement, issuing 2,459,570 units at C$0.60 each for gross proceeds of approximately C$1.48 million. The company used a portion of those funds to settle C$10,000 in outstanding director loans.

Asuncion’s continued presence as a director provides some continuity in strategic oversight, even as operational control shifts to Jackson. The outgoing CEO praised Jackson’s international experience in building companies as exactly what Primary Hydrogen needs in its next phase. Jackson himself has signaled plans to bring operational discipline and scaling expertise to the company’s hydrogen and rare earth programs.

The current share price sits 30.73 percent below the 52-week high of €0.8950 reached on April 27, though it remains 37.78 percent above the 52-week low of €0.4500 from March 24. The annualized 30-day volatility stands at 132.75 percent, underscoring the market’s sensitivity to the leadership change. Despite the pullback, the stock still trades 2.65 percent above its 50-day moving average of €0.6040.

Primary Hydrogen holds exploration acreage spanning over 740 acres in the United States and 230 square kilometers in Canada, including the Blakelock, Hopkins, Mary’s Harbour, Point Rosie, Crooked Amphibolite, Coquihalla, and Cogburn projects. The company also has an option to acquire a 75 percent interest in Wicheeda North, a hydrogen and rare earth project in British Columbia.

PRIMARY HYDROGEN at a turning point? This analysis reveals what investors need to know now.

Whether Jackson’s operational background in health technology can accelerate the company’s exploration programs and improve its capital markets communication remains an open question. The speed at which the stock recovers the valuation lost since the announcement will provide an early indication.
