A Single US Backer Steps In
The entire placement was taken up by one US institutional investor, which subscribed for up to 1,663,000 special warrants at $2.11 apiece. Maxim Group LLC acted as the exclusive placement agent. Each special warrant converts automatically — at no additional cost — into a unit comprising one common share and one warrant to purchase an additional share at $2.48 over a five-year period.
Redwood intends to funnel the proceeds into working capital and general corporate purposes. The company has also filed a preliminary short-form prospectus with Canadian securities regulators. Once final clearance is obtained, it plans to file a supplemental prospectus to ensure the shares underlying the warrants become freely tradable down the line.

The transaction is expected to close around July 10, 2026, subject to customary regulatory and exchange approvals.
The Quantum.IQ acquisition would extend Redwood’s reach into quantum-resistant cybersecurity, complementing its existing “Reactosphere” platform. That platform recently integrated a chemical risk assessment module developed by experts in organic synthesis, aimed at defense and security applications.

Once the prospectus process is complete, additional shares from the warrant structure will begin to hit the market.
