Redwood AI’s stock has been bleeding — down 20% in the past month, with an annualized volatility north of 111%. The relative strength index sits at 30.6, deep in oversold territory. Into that nervous market, the company has dropped an all-stock acquisition that could either revive its growth narrative or stretch the equity base to breaking point.
Under the deal, announced over the weekend, Redwood AI will issue approximately 14 million new shares to buy Vancouver-based Quantum.IQ Technologies, a developer of post-quantum cybersecurity software. At the implied price of C$2.98 per share — just above Friday’s closing print of C$2.96 — the transaction values the purchase at roughly C$41.7 million. The issuance represents a 37.5% increase in the current float of 37.3 million shares.
But the impact on existing holders is not as severe as the headline number suggests. The management has structured the consideration in two tranches: half of the new shares — about 7 million — will be placed in escrow and released in stages over 24 months, blunting the immediate free-float expansion. The other 7 million are earn-out shares that only vest if Quantum.IQ hits certain performance milestones. These include cumulative revenue of up to C$20 million and an operating margin of at least 10%. If the targets are missed, those shares lapse and are cancelled. An external intermediary also receives 100,000 shares as a finder’s fee.

Despite the compelling narrative, the deal is not yet final. It requires approval from the Canadian Securities Exchange and other regulatory bodies. Investors now face a sharp tug-of-war between the long-term promise of post-quantum security and the immediate dilutive shock of adding 14 million shares to the ledger — a move that, without rapid revenue validation, could erase the stock’s recent support at C$2.96.
