The math is brutal for anyone who bought into Redwood AI’s recent capital raise. Just days after the Canadian artificial intelligence company closed a $3.5 million private placement, its stock cratered to a new 52-week low of €0.9480 on Friday, shedding 14.59% in a single session. Over the past 30 days, the equity has lost nearly half its value, and since hitting an all-time high of €6.66 in late April, the decline now stands at roughly 86%.

The placement, finalized on July 21, saw a single US institutional investor subscribe for up to 1,663,000 special warrants at $2.11 each — a price that now sits far above where the stock trades. Maxim Group LLC acted as placement agent. Each warrant converts automatically into a unit comprising one common share and one additional warrant exercisable at $2.48 over 60 months. Redwood AI said the proceeds would go toward working capital and general corporate purposes, but the market has focused instead on the dilution implications.

That dilution concern is compounded by another overhang. In late June, Redwood signed a binding agreement to acquire Quantum.IQ Technologies Inc., a developer of post-quantum cybersecurity software, in a deal originally slated to close by July 10. That deadline has passed without completion. The transaction calls for the issuance of up to 14 million Redwood shares, adding further pressure on the share count. The company aims to expand its technology platform with quantum-resistant cryptography and cybersecurity expertise, but investors are left waiting for confirmation that the deal will actually go through.

The technical picture has turned extreme. The 14-day relative strength index has plunged to 14.1, deep in oversold territory — a level that often signals selling has overshot fundamentals. There have been bright spots that the market has largely ignored. Earlier this month, Redwood AI was added to the CSE25 Index, which tracks the 25 largest companies on the Canadian Securities Exchange by market capitalization. The inclusion was expected to boost visibility among institutional investors and index funds. Yet the index milestone has been overshadowed by the delayed Quantum.IQ closing and the steady erosion of share value.

Redwood AI’s current market capitalization stands at approximately €68.14 million. The company is in the midst of a strategic transformation, pivoting from a specialized provider of AI solutions for chemistry and pharma toward a broader intelligence platform. Whether the Quantum.IQ acquisition closes in the coming weeks and how the newly issued shares and warrants affect the total float will be key determinants of where the stock goes from here. For now, the combination of extreme oversold conditions and elevated trading volumes suggests that volatility will remain the only certainty.
