Rocket Lab’s shares ended Monday 5.16% lower at $95.12, wiping more than $3 billion in market value in a single session. The sell-off came despite two major developments that, on paper, should have been reasons to cheer: the company’s first tactical military mission entered its operational phase, and the stock began trading as a Nasdaq-100 component. The disconnect between headline milestones and share-price performance tells the real story about how the market is now evaluating the space company.

The U.S. Space Force’s VICTUS HAZE mission cleared a critical hurdle three days after the June 19 launch from New Zealand, when the Space Systems Command confirmed the transition to operations. Rocket Lab’s Pioneer spacecraft is now in low Earth orbit, tasked with rendezvous and proximity maneuvers targeting the Jackal vehicle built by True Anomaly, which launched May 3 aboard a SpaceX Falcon 9 from Vandenberg. The mission marks the first time a single contractor — Rocket Lab — handled spacecraft design, manufacturing, testing, launch and orbital operations for a tactically responsive space mission, according to the Space Systems Command.

The Nasdaq-100 inclusion, effective from the same Monday, added a layer of structural demand. With more than $800 billion in assets passively tracking the index, Rocket Lab now sits in portfolios that have no choice but to hold the stock. The move had been telegraphed since mid-June, however, giving active traders ample time to front-run the event. The immediate price action suggests the catalyst was already priced in, though the long-term effect on shareholder composition is undeniable.

Should investors sell immediately? Or is it worth buying Rocket Lab USA?

Behind the headlines, the quarterly numbers paint an increasingly familiar picture. First-quarter revenue surged 63.5% to $200.3 million, and the order backlog hit a record $2.2 billion. The management team also secured 31 new launch contracts, pushing the mission pipeline past 70. Yet the bottom line remained stubbornly red: a net loss of $45.0 million. The company’s operating cash burn stood at $50.3 million for the quarter, though financing activities — including $450.3 million from at-the-market equity sales — brought in $463.3 million.

Rocket Lab held roughly $1.48 billion in cash and marketable securities as of March 31, giving it a comfortable liquidity runway. The same equity issuance that replenished the coffers, however, dilutes existing shareholders — a dynamic that has weighed on the stock as investors calculate the cost of continued capital raises. The market capitalization of about $57.6 billion implies a steep multiple on trailing revenue, leaving little room for disappointment on the path to profitability.

For the current quarter, management guided for an adjusted EBITDA loss of $20 million to $26 million — a range that, assuming no upside surprise, would extend the streak of operating losses. The narrowing of that red ink is precisely what analysts are watching. A successful VICTUS HAZE rendezvous demonstration, the Space Systems Command noted, could pave the way for follow-on contracts for either Rocket Lab or True Anomaly. But translating orbital milestones into profitable revenue streams is the hurdle that the market wants to see cleared.

For now, the stock is caught between two strong forces: a growing, well-capitalized business that consistently wins high-profile government missions, and a valuation that demands those wins eventually produce earnings. The Nasdaq-100 entry guarantees a new class of permanent holders, but passive demand cannot substitute for the operating leverage that would justify a $57 billion price tag. Rocket Lab’s next quarterly report will be the first real test of whether the trajectory is bending toward profitability.
