RTL's New CEO Faces a Pivotal Four Weeks as Sky Deal Looms and Cost-Cutting Bites

The RTL Group is entering a defining chapter. Within weeks, the media conglomerate will close the largest acquisition in its history, install a new chief executive, and publish quarterly results that will test whether its streaming strategy is finally gaining commercial traction. Yet the stock market remains unconvinced. Shares have slid roughly 13 percent over the past month, trading at €32.70 — well below their 50-day moving average and a far cry from the 52-week high of nearly €39.
A Streamlined Morning Offering
The most visible sign of the company's restructuring landed on air at the start of May. "Deutschland am Morgen," a new automated studio format, now replaces several legacy morning shows and runs simultaneously on news channel n-tv. The consolidation is a cornerstone of a broader cost-cutting programme that eliminates around 600 positions and is expected to deliver annual savings of €75 million.
Viewer reception has been lukewarm. During the three-hour premiere, Instagram was flooded with critical comments. The belt-tightening reflects a harsh reality: linear television advertising revenue has dropped more than 20 percent since 2019, forcing RTL to find efficiencies while investing in digital growth.
Streaming Takes Centre Stage
On May 13, incoming CEO Clément Schwebig will present his first set of quarterly numbers. The former Warner Bros executive has made RTL+ the centrepiece of his strategy, with flagship content like "Gute Zeiten, schlechte Zeiten" now streaming nearly a week before its television broadcast.
Should investors sell immediately? Or is it worth buying RTL?
The streaming division ended last year with over eight million paying subscribers. Management is targeting an additional one million this year and, more critically, the segment's first-ever operating profit. For the full year, the digital business is expected to contribute up to €650 million in group revenue, helping underpin a company-wide adjusted operating profit target of roughly €725 million on sales of up to €6.2 billion.
The stakes are high. RTL's medium-term goal of generating €1 billion in operating profit depends heavily on streaming reaching profitability by 2026. The traditional TV advertising business continues to struggle — ad revenue fell 7 percent most recently — and while digital advertising surged nearly 28 percent, that only partially offsets the decline.
Production Headwinds and a Mega Deal
The production arm Fremantle is also feeling the strain. Revenue slipped 9.4 percent to around €2 billion, dragged down by weak performances in the US and UK. On the positive side, its operating margin hit the highest level since 2013.
The biggest strategic move comes on June 1, when RTL completes its takeover of Sky Deutschland. European regulators have already given the green light. The merger will combine RTL+ and Sky's WOW streaming service, bundling premium sports rights such as Bundesliga football with RTL's entertainment brands to create a platform with roughly 12.3 million paying subscribers.
RTL at a turning point? This analysis reveals what investors need to know now.
The financial structure is straightforward: RTL will pay €150 million in cash at closing, plus a share-price-linked component capped at €377 million. Management expects annual synergies to reach the hundreds of millions within a few years.
A Crowded Calendar
The convergence of events leaves little room for error. The May 13 quarterly report must demonstrate that the path to streaming profitability remains on track. A convincing performance would give Schwebig the credibility he needs as he prepares to integrate Sky Deutschland just weeks later. With a new leadership team, a historic acquisition, and aggressive cost-cutting all converging simultaneously, the next four weeks will determine whether RTL's transformation story gains momentum — or stalls.
