Sivers Semiconductors is heading into a new reporting schedule with a share price that has already absorbed a sharp downgrade in confidence. The Swedish semiconductor group will publish its second-quarter 2026 numbers on 27 August, later than previously planned, after shifting its calendar to align with US accounting requirements under PCAOB rules.

That timetable change comes alongside a broader overhaul of the company’s financial picture. To prepare for a planned US listing, Sivers has restated its accounts and disclosed a larger 2025 net loss of 222.6 million Swedish kronor, up from 186.5 million previously. It also revised 2024 revenue down to 219.2 million kronor from 243.7 million kronor.

The accounting changes have been paired with a sizeable equity raise. Sivers issued 12,280,701 new shares at 57 Swedish kronor each, a 9.7 percent discount to the prior price, raising around 700 million kronor. The company said the offering was aimed at strengthening the balance sheet, but the move also diluted existing holders and has helped drive the stock lower in recent weeks.

Even so, management has been buying. On 13 July, CEO Vickram Vathulya purchased stock worth roughly 950,000 Swedish kronor, while five board members also acquired shares under a programme approved by the annual general meeting. All of those purchases come with a one-year lock-up, meaning the insiders cannot quickly flip the stock they just bought.

The timing matters because a separate sale restriction linked to the April capital increase expires on 16 July 2026. Trading conditions have turned increasingly strained as investors weigh the restated figures, the dilution from the new equity, and uncertainty around the timing of the planned Nasdaq secondary listing. The company’s recent institutionally placed shares were taken up at a level well above the current market price.

Sivers is trying to push ahead in growth markets including AI data centres, satellite communications and defence photonics, but the next few months will be defined by whether its revised reporting and US-market preparations can restore trust after a difficult stretch.
