The lifting of a trading restriction on Sivers Semiconductors shares has unleashed a wave of insider selling that sent the stock tumbling, even as the company's chief executive bucked the trend by adding to his own position. The Swedish photonics and wireless technology firm saw its shares close at €2.83 on Friday, a single-day drop of 6.35%, bringing the weekly loss to 11.45%.

The sell-off stems from the expiration of a lock-up agreement tied to a directed share issue approved by the board on April 16, 2026. The restriction barred certain board members and managers from selling shares until July 16, 2026 — and within days of its expiry, multiple insiders moved to reduce their holdings.

Chairman Bami Bastani sold 300,000 shares on July 16, donated 60,000 shares to charitable organizations, and gifted 70,000 to family members. He retains 381,360 shares and 625,000 employee stock options. Board member Todd Thomson, through his investment vehicle Headwaters Capital, offloaded 950,000 shares through July 22 and donated another 50,000 shares to charity. Despite the disposals, Thomson remains the largest shareholder among board members with 477,027 shares. The venture capital firm Kairos Ventures, which Thomson represents on the board, also reduced its position. Kairos originally received its stake through the 2022 acquisition of its portfolio company Mixcomm and is required under its mandate to eventually return capital to its investors.

In a notable departure from the selling pattern, CEO Vickram Vathulya purchased 70,000 additional shares, raising his total holdings to 4,540,076 shares plus 3.7 million employee options. The company emphasized that management continues to hold significant stakes and remains committed to the long-term strategy.

Should investors sell immediately? Or is it worth buying Sivers Semiconductors?

The lock-up period originated from a directed share issuance in early June. Based on authorization from the annual general meeting on June 15, 2026, the board issued 12,280,701 new common shares, raising approximately 700 million Swedish kronor at a subscription price of 57 kronor per share through an accelerated bookbuilding process. The offering was multiple times oversubscribed, attracting both Swedish and international institutional investors.

The stock has now fallen more than 72% from its 52-week high of €10.23 reached on June 3, shortly before the capital raise was announced. With an annualized 30-day volatility exceeding 160%, Sivers shares rank among the most turbulent on the Swedish market.

Insider trading activity will now pause. Under EU market abuse regulations, a closed period begins July 28 and runs until the release of the second-quarter report on August 27, 2026, before trading opens on Nasdaq Stockholm. During this window, executives are prohibited from trading company securities.

Sivers Semiconductors at a turning point? This analysis reveals what investors need to know now.

The recent transactions represent one of the last opportunities for insiders to adjust positions before the trading blackout. Whether the sell-off proves to be a one-time adjustment following the capital raise, or signals deeper concerns, will likely become clearer when the company publishes its quarterly results on August 27. Until then, the stock faces a period without fresh insider news — a window that could allow the share price to stabilize, or leave it exposed to broader market forces.
