The shares of Swedish chipmaker Sivers Semiconductors have lost more than half their value in the past month, closing Monday at €4.02 after a 5.36% drop. Yet in a striking counter-move, company insiders have been buying equity in the days before a key lock-up period expires on July 16 — a deadline that will free management and board members to sell their holdings for the first time since a dilutive capital raise in April.

Chief executive Vickram Vathulya, along with board members Bami Bastani, Karin Raj and Todd Thomson, collectively purchased tens of thousands of shares over the past week. Thomson alone invested roughly €45,000, according to regulatory filings. The buying spree comes in what has been the stock’s worst monthly slide in years, with the 30-day annualized volatility reaching extremes — one calculation puts it at 155%, while another measure exceeds 220%. The relative strength index sits at 38, indicating oversold territory.

The bearish pressure stems largely from two dilutive transactions that inflated the share count. Sivers completed a targeted share placement of approximately 700 million Swedish kronor, issuing 12.28 million new shares at 57 kronor each through an accelerated bookbuild. Days earlier, lender Bootstrap Europe converted a $12 million convertible bond into roughly 23 million new common shares, diluting existing holders by about 6.4%. Although the fresh capital was welcomed, the market has punished the stock since its June 3 high of €10.23 — a peak now 60.68% above current levels.

To complicate matters, Sivers has delayed its second-quarter earnings report for the second time this year, rescheduling it to August 27, while third-quarter results are set for November 26 and fourth-quarter figures for February 25, 2027. The company says the shift is necessary to align its accounting with PCAOB standards, a prerequisite for a planned dual listing on the Nasdaq in New York around the turn of the year. CEO Vathulya described robust reporting processes as essential for growth in target markets such as AI data centers, satellite communications, defense and telecoms. The timing, however, is inauspicious: South Korean memory giant SK Hynix launched its own ADR listing on the Nasdaq on July 10, competing for the same institutional capital.

At €4.02, the stock now trades 60.68% below its 52-week high of €10.23 and well under its 50-day moving average of €6.21. For perspective, it remains more than 1,500% above the 52-week low of €0.27 touched in March. The earnings report on August 27 will be the first opportunity to demonstrate whether the balance-sheet cleanup is translating into operational growth. Until then, the absence of fresh data leaves the stock vulnerable to short-seller pressure — and the lock-up expiry on July 16 will test whether insider confidence can sustain demand once the selling restrictions lift.
