A significant shift in shareholder structure is underway at German defense supplier VINCORION, marking the true start of its life as a publicly traded company. The expiration of a key post-IPO mechanism on April 23rd removes the final layer of market support, fundamentally altering the equity landscape and inviting greater institutional scrutiny.
The change centers on the lapse of the greenshoe option held by majority owner STAR Capital. This move is expected to push the private equity firm's voting rights stake definitively below the 50% threshold, increasing the free float. STAR Capital's direct shareholding remains subject to a strict lock-up period, preventing large-scale disposals before autumn 2026. The IPO itself was structured solely as an exit for the financial investor, with no new capital raised for the company. Consequently, VINCORION must fund its ambitious growth plans entirely from internal operational cash flow.
