Bayer closed the books on a mixed third quarter of 2026 this week, pairing a net loss of EUR 672 million with an operating performance that beat the prior-year period — a split verdict that has done little to settle the debate among the analysts who cover the stock.

Revenue for the quarter came in at EUR 10.053 billion, up 4.1% in nominal terms and 1.9% once currency and portfolio effects are stripped out. EBITDA before special items climbed 6.9% to EUR 1.615 billion. Adjusted earnings per share landed at EUR 0.31, while the bottom line swung to a group result of minus EUR 0.7 billion.

Two Brokerages, Two Readings of the Same Story

The sell-side has drawn sharply different conclusions from the same set of numbers. UBS on Wednesday lifted its price target to EUR 66 from EUR 62 and reiterated its buy rating, pointing to the pharmaceutical division and its growth runway as the reason for the upgrade.

Jefferies moved in the same direction but stopped well short of enthusiasm. The house raised its target to EUR 48.50 from EUR 46 on the previous day while keeping its rating at "Hold." According to media reports, the analysts assume Bayer will land at the lower end of its full-year guidance range. Jefferies also flagged the unresolved glyphosate settlement as a lingering overhang.

Should investors sell immediately? Or is it worth buying Bayer?

Shares slipped 0.7% in the session. Coverage of the Jefferies note cited possible drags on the stock but stopped short of pinning the decline on any single cause.

Guidance Raised, Cash Flow Still in the Red

Management's own forecast leans toward the more constructive reading. Bayer lifted its full-year outlook for EBITDA before special items to a range of EUR 9.8 billion to EUR 10.3 billion. Free cash flow guidance was revised to between minus EUR 1.5 billion and minus EUR 0.5 billion — still negative for the year, but a narrower shortfall than previously projected.

The company also trimmed its expected net debt at year-end to EUR 28.0 billion to EUR 29.0 billion, giving the balance sheet a little more breathing room as the litigation calendar fills up.

A Missouri Jury, a Supreme Court Precedent and a Christmas Deadline

On the legal front, Bayer's Monsanto subsidiary notched a win on Oct. 29 when a Missouri jury returned a unanimous verdict in the company's favor in the case of Theresa Aretino et al. By Bayer's account, it was the first Roundup trial since the U.S. Supreme Court's ruling in Durnell.

CEO Bill Anderson said Tuesday that Bayer expects a decision on its proposed Roundup settlement. Reuters reported that a ruling on the settlement — valued at USD 7.25 billion — is anticipated before Christmas.

Asundexian Breaks New Ground in China

The pharmaceutical pipeline supplied its own headline. On Oct. 26, Bayer announced Chinese approval of Asundexian, marketed as Sunharbo, for the secondary prevention of strokes. The company described the drug as the world's first approved factor XIa inhibitor.

Additional data is on the way. Bayer has slated presentations on cardiovascular disease, kidney health and stroke for the AHA Scientific Sessions running Nov. 6–9, 2026, in Chicago. Among them is a late-breaking presentation of an exploratory post-hoc analysis of the Phase III OCEANIC-STROKE trial of Asundexian.

For investors, the week offered a familiar Bayer equation: a pharma franchise gaining regulatory ground, a balance sheet still carrying negative cash flow, and a multibillion-dollar legal question awaiting an answer before the year is out.
