Bayer's Upgraded Guidance Meets a Split Verdict on the Street
Published on 11/04/2026 at 18:11 | Editorial boerse-global.deBayer shares drew two very different readings from the same set of numbers this week. The stock added 3.7% on the day of its quarterly release, a move Reuters tied to a better-than-expected showing in the pharmaceuticals division and a raised full-year outlook. Jefferies, though, kept its "Hold" rating and a 46-euro price target, with analyst Michael Leuchten flagging positive surprises on revenue and adjusted EBITDA while pointing out that core earnings per share landed below consensus.
The split captures the tension running through the entire Bayer story right now: the top line and the drug pipeline are delivering, but the bottom line and the cash register are still telling a harder tale.
What the quarter actually showed
For the third quarter of 2026, Bayer posted group revenue of 10.053 billion euros and EBITDA before special items of 1.615 billion euros. Adjusted earnings per share came in at 0.31 euros, according to company figures. Beneath those headline gains sat a group net loss of 0.7 billion euros and negative free cash flow of 0.3 billion euros.
The pharma unit did the heavy lifting. Its EBITDA before special items climbed 23.6% to 1.292 billion euros.
Should investors sell immediately? Or is it worth buying Bayer?
JPMorgan read the same release far more bullishly, reaffirming "Overweight" and a 61-euro target. Analyst Richard Vosser leaned on the strength of the pharmaceutical business, the positive EBITDA surprise and the more optimistic guidance.
Guidance moves up, but the cash gap stays open
Bayer now expects group EBITDA before special items of 9.8 to 10.3 billion euros for 2026, up from a prior range of 9.6 to 10.1 billion euros. The company credits the pharmaceuticals business for the lift.
The free cash flow forecast was raised too — to between minus 1.5 and minus 0.5 billion euros, from minus 2.5 to minus 1.5 billion euros. That is a 1.0 billion euro improvement, yet it still leaves the company guiding toward money going out rather than coming in. Net financial debt stood at 31.1 billion euros, with management targeting 28.0 to 29.0 billion euros by year-end — a goal, not an accomplished deleveraging.
The distinction matters for anyone weighing the stock. Operating earnings describe how profitable the business is; free cash flow shows whether cash is actually flowing in or out. A higher profit outlook paired with a smaller outflow answers two separate questions, and only improvement on both would make the case airtight.
A margin upgrade and a Chinese green light
The most concrete support for the bull case sits in the pharma margin. Bayer now projects a 2026 EBITDA margin before special items of 25% to 27% in that division, up from 23% to 25%.

On top of that, China's NMPA has approved Sevabertinib as a first-line therapy for adults with unresectable, locally advanced or metastatic HER2-mutant non-small cell lung cancer. It is a completed regulatory step and a fresh operational foothold — but not yet evidence of how much the drug will add to sales and earnings.
The test comes at year-end
Bayer's own forecast contains the counterargument: despite the upgrade, free cash flow is still expected to be negative. Stronger earnings do not automatically plug the outflow, and a better outlook should not be mistaken for a finished financial stabilization.
The real risk is a gap between earnings progress and financial effect. If free cash flow improvement lags the raised expectations, the ground beneath the re-rating weakens — and not even a Chinese approval would substitute for that test. Come year-end, earnings, free cash flow and net debt will all have to line up against reality. What counts is not a single positive headline but whether these figures confirm the improved picture together.
