Commerzbank: Barclays' Deposit Warning, UniCredit's Open-Ended Green Light, and a Buyback in the Background

Barclays has cooled on Commerzbank, and the reason has nothing to do with who might end up owning the bank. On Thursday the UK broker moved the stock from "Overweight" to "Equal Weight," with analyst Paola Sabbione trimming her price target to EUR 41 from EUR 42. Her case rests on limited near-term upside and a net interest income outlook that now looks softer than previously assumed — pressure she attributes in part to tougher competition for deposits in Germany.

That call frames one of two distinct questions now hanging over the Frankfurt lender: how sturdy its earnings engine really is, and what UniCredit's expanding foothold means for the shareholder register. The two are easy to blur and worth keeping apart. A possible change of control does nothing to answer whether the interest margin will hold up, and a regulatory green light says nothing about deposit pricing.

A downgrade that carries two separate messages

The nuance in Barclays' move is that the target cut was modest while the rating change was not. Slipping one notch to neutral signals a more cautious stance on returns, even as the bank stopped well short of turning bearish on valuation. Sabbione's softer net interest income projection is a forecast, not a reported figure — a distinction that matters with the next hard data point still weeks away.

UniCredit's approval is a permission slip, not a completed deal

Running alongside the operational story is UniCredit's own announcement that the ECB has cleared it to push past the 30% threshold in Commerzbank and keep building without a cap. Once outstanding regulatory steps and conditions are satisfied, the Italian lender expects to hold roughly 50% of the voting rights by year-end and to be in a position to take control. Commerzbank, according to the report, declined to comment on the matter.

Should investors sell immediately? Or is it worth buying Commerzbank?

The procedural stage is what counts here. Authorization opens room to act; it does not amount to a further stake purchase already executed, and UniCredit has not reported the control takeover as complete. Treating the two as one step gets ahead of the announced sequence. Nor does any of it address the net interest income question Barclays raised — separate themes, separate preconditions, even if both feed into how the shares are valued.

A second opinion, and a buyback on the side

Not every analyst is retreating. Deutsche Bank Research reaffirmed its Hold rating and EUR 42 target on 15 October, leaving both rating and price objective untouched — a contrast in emphasis with Barclays' more guarded view. The two dated assessments pull in different directions, which puts extra weight on the company's own numbers.

Those arrive on 5 November, when Commerzbank is scheduled to publish its third-quarter 2026 results. It is the first real test of whether the cautious read on interest income holds up against actual performance.

Commerzbank at a turning point? This analysis reveals what investors need to know now.

Meanwhile, the bank has been busy buying its own stock. In the week just reported it repurchased 3,157,027 shares, bringing the total under the current buyback programme to 14,271,110. That capital return sits alongside the two bigger questions without resolving either — it speaks to neither the earnings trajectory nor the completion of UniCredit's regulatory checklist.

For investors, the gap between expectation and evidence is where the risk lives. Barclays' softer interest income view has yet to be measured against published figures, and UniCredit's path to control remains conditional until every stated requirement is met.
