Commerzbank: Barclays Trims Its Enthusiasm While Orlopp Gears Up for UniCredit Consolidation

Commerzbank shareholders are being asked to weigh two very different questions at once: whether the bank's interest income can hold up in a tougher deposit market, and what UniCredit's regulatory runway for buying more stock is actually worth. Neither answer substitutes for the other, and the coming weeks will test both.

On the operational side, Barclays cut its rating on the lender from "Overweight" to "Equal Weight" on Thursday, with analyst Paola Sabbione trimming her price target to 41 euros from 42. The rationale was twofold: limited further upside from here, and a net interest income outlook that looks weaker than previously assumed. Sabbione pointed squarely at intensifying competition for deposits in Germany as the drag. That is a forecast about earnings, not a reported result — an important distinction for anyone reading the downgrade as a verdict on the business.

The signal itself is mixed. Barclays took only a modest slice off its target, yet surrendered its more constructive stance, pairing a valuation call with more cautious earnings expectations. Deutsche Bank Research, by contrast, reaffirmed its hold recommendation and 42-euro target on October 15, leaving both rating and price objective untouched. Two dated assessments, two different emphases.

Should investors sell immediately? Or is it worth buying Commerzbank?

Running parallel to all this is the ownership story. UniCredit said the ECB has cleared it to cross the 30% threshold in Commerzbank and to keep building its stake without a cap. The German bank declined to comment on the matter, according to the report. What the approval does is open room to act; it does not mean further shares have changed hands. Nor does it say anything about the deposit squeeze Barclays flagged — a regulatory green light is not an earnings contribution.

Separately, Commerzbank has been steadily mopping up its own stock. Between October 12 and October 16 inclusive, it repurchased 3,157,027 shares, per its capital markets disclosure published October 19. Since the programme began on September 4, the cumulative tally through October 16 stands at 14,271,110 shares. These buys are a completed capital measure and should not be conflated with UniCredit's stake-building: here the bank is acquiring its own equity, there a different institution is expanding its holding. Executing the buyback does nothing to close UniCredit's offer.

Chief executive Bettina Orlopp, quoted by Handelsblatt, said the bank is preparing to consolidate its figures into UniCredit's. That could land in the full-year 2026 balance sheet or in the first quarter of 2027 — a possibility, not a confirmation that consolidation has happened. UniCredit, for its part, has said it expects the remaining approvals and the offer's completion around year-end, though that too remains conditional on further sign-offs.

The next hard datapoint arrives November 5, when Commerzbank publishes its third-quarter 2026 results. That is when the cautious interest-income view will have to answer to actual numbers — and when investors will get a fresh read on the business, quite apart from who ends up owning it.
